Notification of transactions by Persons Discharging Managerial Responsibilities ("PDMR")
Hamilton, Bermuda - Further to the Company's announcement on 17 May 2022, the first tranche of the buy-out award made to Paul Cooper, PDMR, under the Company's Performance Share Plan (the "Plan") vested on 19 September, 2022 (the "Award").
In accordance with the terms of the Plan, Mr Cooper is also entitled to receive an additional 305 ordinary shares of 6.5p each ("Shares") equivalent to the dividends paid by the Company between the date of grant and the date of vesting in respect of the Award of 26,274 Shares ("Rolled Up Dividend").
The Award, now over 26,579 Shares, is exercisable until 17 May 2023.
The notifications set out below which relate to the increase in the Award in connection with the Rolled Up Dividend are made in accordance with the UK version of the EU Market Abuse Regulation (2014/596/EU) which is part of UK law by virtue of the European Union (Withdrawal) Act 2018.
