Completion of Mantle Diamonds Transfer and Share Exchange

The Board of Directors of Praetorian Resources is pleased to announce that completion of the transfer of the Mantle Diamonds portfolio by Blackrock Investment Management (UK) Limited ("Blackrock Investment Management") to the Company took place on 28 July 2012, following expiry of the period for shareholders in Mantle Diamonds Limited to exercise pre-emption rights. Pursuant to the share exchange agreement dated 4 July 2012 entered into by the Company with Blackrock Investment Management, an additional 1,950,000 new ordinary shares in the Company (with an additional 975,000 new subscription shares in the Company attached) were issued to Blackrock Investment Management on such completion.

Application has been made to the London Stock Exchange for the 1,950,000 new ordinary shares and 975,000 new subscription shares to be admitted to trading on AIM. It is expected that such admission will take place at 8.00 a.m. on Friday, 3 August 2012. Following the completion of the share exchange, the Company has 46,648,886 ordinary shares and 23,324,443 subscription shares in issue and Blackrock Investment Management holds 5,299,854 ordinary shares representing11.36 per cent. of the Company's issued ordinary share capital.
