NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc ( "Dunelm") or ("the Company") has been notified that on 8 March 2012 Will Adderley, Deputy Chairman, transferred 1,000,000 ordinary shares (the "Shares") of 1 pence each to the Leicester Foundation, a private charitable trust of which Will and Nadine Adderley are trustees, for nil consideration.

In light of his status as a trustee, Mr Adderley is deemed to retain a legal interest in the Shares, as an indirect holding.

Following this transfer, Mr Adderley retains a beneficial interest in 61,703,398 ordinary shares of the Company, representing 30.5% of the Company's issued share capital. In addition he has an indirect interest in the ordinary shares held by the Leicester Foundation which total 1,167,250 ordinary shares following this transaction, 0.6% of the issued share capital; and in 172,750 shares, 0.1% of the issued share capital, held by the Paddocks Trust, a private family trust.

Further to the lock up agreement entered into at the time of the placing on 5 March 2012, Will and Nadine Adderley have confirmed that the Leicester Foundation will not dispose of the transferred shares for a period of at least six months from the date of that agreement.
