DAWSON INTERNATIONALΒ Β PLC ("Dawson" or "the Company")
DISPOSAL OF THE DORMA BRAND
Dawson International PLC announces that it has entered into an agreementΒ to sellΒ the DormaΒ trademarkΒ and associated rights to Dunelm Group plcΒ ("Dunelm")Β for a cash considerationΒ ("the Consideration")Β of Β£5 million. TheΒ sale is conditional on the release of security over theΒ trademarkΒ and associated intellectual propertyΒ rightsΒ by the Company's lenders, which is expected within the next 14 days.
In conjunction with the sale agreement,Β the CompanyΒ hasΒ enteredΒ into a trading agreementΒ in terms of whichΒ DawsonΒ will continueΒ to supply Dunelm withΒ Dorma brand and own-brandΒ bed linenΒ for an initialΒ period of four yearsΒ with certain minimum guarantees. DunelmΒ hasΒ also grantedΒ the Company a licence to use the Dorma brand until January 2011.Β At the end of this periodΒ DawsonΒ willΒ cease supplying Dorma branded products to third partiesΒ other than Dunelm.Β
As a consequence of entering into this agreement the Company will incur costs of exiting itsΒ DormaΒ BrandedΒ businessΒ by January 2011. TheΒ final amount of theΒ cashΒ costΒ isΒ uncertain due to the length of time involved butΒ is currently estimated atΒ not more than Β£3.3Β million.Β The net consideration will be used to reduce debt.Β The DormaΒ BrandedΒ businessΒ currently employs approximatelyΒ 420Β staff, with the vast majority of these working in its retail concessions. In the year ended 29 December 2007, theΒ Dorma BrandedΒ businessΒ recorded anΒ operatingΒ loss, inclusive of central overheads,Β of Β£3.6Β million. The trademark and associated intellectual property rights, which are the subject of the sale, were carried at nil value in the balance sheet.Β Β

"DawsonΒ acquired Dorma Group Limited in February 2005Β and restructuredΒ itΒ into separateΒ DormaΒ Branded and Private LabelΒ businesses.Β The overall results ofΒ Dorma GroupΒ have improved significantly since acquisitionΒ however whileΒ the Private LabelΒ businessΒ isΒ nowΒ growing and trading profitably theΒ DormaΒ BrandedΒ business, although much improved,Β continues to trade at a lossΒ reflecting a decline in some of its traditional markets such as mail order and independent retailers.Β
This transaction enables us to focusΒ onΒ theΒ growth areaΒ of the businessΒ and generates cash both through the net consideration for the brand and the liquidation of working capital.Β ItΒ alsoΒ further strengthens our relationship with one of our major Private Label customers."
