Dunelm Group plc23 November 2006 Dunelm Group plc ("Dunelm" or the "Company") Gift of shares and Director/PDMR Holdings The Company has today been notified that William (Bill) Adderley has todaytransferred 20,000,000 ordinary shares of 1p each in Dunelm ("Shares")(representing 10.0% of the issued ordinary share capital of Dunelm) to William(Will) Lester Adderley for nil consideration, as was anticipated in theprospectus published on 19 October 2006 in connection with the initial publicoffering of Dunelm. Following the above transfer, Will Adderley now holds 45,000,000 Shares,representing 22.5% of the issued ordinary share capital of Dunelm. Bill Adderleyholds 80,000,000 shares in his own name and is interested in a total of88,670,000 including those shares held by his wife, representing 40.0% and44.3%, respectively, of Dunelm's issued ordinary share capital. The above interests are beneficial interests of those mentioned, save asotherwise stated.
