Notification of Transaction of Person Discharging Managerial Responsibility

("PDMR")

The Company was notified on 28 June 2018 that, on the same day, the Trustees of James Cropper Plc Share Incentive Plan ("JC SIP Plan") transferred 582 ordinary shares of 25p each ("Shares") in the Company to Jeannie Harper, a participant of the SIP Scheme and a PDMR.

The Shares were awarded to the participant on:

Beneficial rights to participants are recognised immediately upon reward.

The SIP trust holds Shares for a 5-year period from the date of the award and then transfers the Shares to the participants. The Shares have been transferred to the participant earlier as, under the Scheme rules, the participant is deemed to be a leaver.

The beneficial interest in Shares for Jeannie Harper remains the same.

As a result of the above transaction, the JC SIP Plan is interested in 163,026 Shares, representing 1.7% of the issued share capital of the Company.

As a result of the change in interest of the JC SIP Plan, the non-beneficial interest of the following PDMR was decreased by:

David Nicholson 582 Shares.
