Directors Interests

The Company announces that it was notified by M.A.J. Cropper and Patrick Willink on 20 January 2016 of changes in their beneficial interests in the Company's ordinary shares of 25p each ("Shares"). These changes arise as follows.

M.A.J. Cropper, a Director of the Company, today bought 2,000 Shares at a price of 642.5p per Share from Patrick Willink, a Director of the Company. In addition, M.A.J. Cropper also bought a further 1,850 Shares from a member of the Cropper family at a price of 642.5p.

The total 3,850 Shares, bought by M.A.J. Cropper are being transferred to the Anthony Charles Cropper Settlement (the "Trust"), in which he has a beneficial interest.

The member of the Cropper family, M.A.J. Cropper and Patrick Willink, are deemed to be acting in concert and regarded by the Takeover Panel to be members of the concert party detailed in the Company's circular to shareholders dated 30 June 2015 (the "Concert Party").

As a result, M.A.J. Cropper's interest in the Company is as follows:

As a result, Patrick Willink's interest in the Company is as follows:

The total interests of the Concert Party following these transactions, directly and indirectly, remains unchanged at 3,618,550 Shares, which represents 39.2% of the issued share capital of the Company.
