Directors Interests

The Company announces that it was notified by M.A.J. Cropper of changes in his beneficial interests in the Company's ordinary shares of 25 pence each ("Shares"). These changes arise as follows:

Today M.A.J. Cropper, a Director of the Company, bought 10,150 Shares at a price of 615p per Share. Following this purchase, M.A.J. Cropper is transferring these Shares to the AC Cropper Settlement, in which he has a beneficial interest.

As a result, M.A.J. Cropper's interest in the Company is as follows:

*Includes a total of 486,924 Shares pledged as security

The interest of the Concert Party, directly and indirectly, is 3,618,550 Shares, which represents 39.3% of the issued share capital of the Company.

The Concert Party being the members of the Cropper family who, together with M.A.J. Cropper, are deemed to be acting in concert and regarded by the Panel to be members of the concert party detailed in the Company's circular to shareholders dated 30 June 2015 (the "Concert Party").
