Morning, just read tightfist and bubloo on other BB. Interesting situation, Genus appears suffering with RF which I have always thought they copied from CC when we let them have it on their benches for convenience, who would be that stupid, JC assured me after that they now have their own when I raised matter.

Goa, the money to be made there is only the start of it.

Arquiva, JC's old firm (employee I think), doing Scotland is struggling debt wise (I think they do Towers, expensive). CC could probably have influenced there to do all of UK with RF but I feel were slow off the mark. Only my thoughts.

To me we are giving away Billions of £'s if bid goes through.

There is a chap on other BB (lynxboy) who keeps referring to non-holders, is that because he does not like our line of thought. I've held since 2012 and by averaging have kept above water. Having said that by leaving it in Building Soc for 14 years I would have probably doubled it, even at low rates. Instead I will virtually be coming out of CC where I started with all that risk in between, I would say thanks to JC who every time we got near breakeven, and promising it, would spend it on another expansion, mainly ROW, or new figure heads who would come and go at cost or charities like schools. He was dreaming of his kingdom but with no money. You look after the owners of the company before yourself and then do all this after achieving profits and dividends. To me, whilst he says otherwise, he has no interest in shareholders, apart from wishing them a Merry Christmas, to shut them up for another year.

He could prove us all wrong but this is one of many let downs. As is said the product is so good as to sell itself, that's why Esyasoft want it, its our wasters who have caused the problems. The whole 2026 is the money year so JC would have to be playing a blinder if he is not a shafter.

Afternoon all, my current thoughts for what it is worth.

We have a common to goal improve SP, suggest make appropriate comments but don't snipe a each other. Look at JC/CC/BOD/ESYASOFT.

Would it be practical to apply for 6 months Share Suspension (if that is possible). If so can CC carry on business and applying for future contracts during this time. It is in both CC's and Esyasoft interests to get as much new business as they can, otherwise not a viable company and these contracts wil not be around forever. As we know the Smart Comms software is the only thing that matters in a Smart Meter.

If during suspension Esyasoft or others come forward with a settlement offer I would suggest that for past costs with no returns to shareholders and the great future about to fall upon CC that we ask for no less than 200p per share ( look at JC's future forecast RNS 3 Mar) as rather than a goldmine CC is a diamond mine, small but precious. Esyasoft is not going to want to queer its pitch. I do not think there is another Smart Comms to pick up especially at short notice. CC could be worth billions in the near future, all of India's ground work has been done so it's all go, thanks to us.

The bottom line is, we have 2 good loans at good rates, the start of Goa, AMISP bids (possibly 10m) worth possibly £1bn gross, 17 contracts and an arrangement with Intellismart. So why is the offer even being looked at. If Esyasoft thought they would get away with it they would probably have gone direct to shareholders. It still feels like a set up to me.

Empty, now is the time for you to get real, CC has received 2 loans which has locked it in regarding other bids, do you agree. i.e. no other bids at this time. Next JC told us in his RNS Mar who well the company will do in near future, without us, not with us. It would of course be different if he was about to recommend a fantastic price like 500p and trying to keep Esyasoft happy. To me that RNS was a 2 finger job or even 1 finger to all of us loyal shareholders. Hopefully LTI, will come up with a better reason. At present I would be happy if we were Suspended, that would give us time to see if this years projects bear fruit, if so SP may be worth many hundreds £, then we talk business.

Thanks for that LTI. If JC is playing the long game, he is up against a strong opponent, and any intervention by the authorities could complicate that. I have a little bit of acknowledgement as I could in no way see the BOD coming up for it without giving an 'hands up, surrender statement' to shareholders.

JST is committed as more than just a shareholder, we supply him with Smart and with a different wavelength, so not is his interest to interrupt continuity. I think he will vote against any takeover and lets face it we did not need a takeover, it was just sprung on us.

Colour, contacted companies house about process complaining about CC take over bid. Awaiting response.

Hi Traderz, the problem appears to be the Esyasoft loans which means they dont need to make early offer as the loans prevent others doing so..

Morning all, LTI, JST might be our 5% needed, I think he is UK minded although living in Thailand.

Although BOD voted unanimously may be they were persuaded by JC and went along temporarily. I say this after again reading JC's March RNS. It read to me that he had already written us off and wanted to push with his ROW without us. How could someone who represents us and protects us be so blatant, telling us what he is going to do when we are gone. The AMISP contracts to come could be worth £1bn or £2bn gross and probably £15 unit as we are in control. ITT, gizmo, I think you are pulling in same direction, do not fall out. gizmo is going for 50p whereas ITT sees more. I see a lot more. If we are going to dispute anything it should be stated we have waited an extraordinarily long time for peak of CC performance this year with possibly billions of £'s to be made.

Question to all, if a complaint was lodge or investigation launched would that suspend any take over bid.

Until Feb RNS despite not knowing if we had reached breakeven the SP was starting to rise with all the prospects (Goa etc) beginning to bear fruit.

I was surprised at JC's Feb RNS but soon suspected this was a stalling action, by someone who was only interested in his own skin. But for this SP STOP I feel by today's date we could have reached 15p. Then blatantly in March he rubs our nose in it by saying how well CC is going to do without us, but i bet all his staff are looked after.

DTB, contrary to what I have said in past I do not think we can rely on JC, we did last month and what happened, the BOD agreed. I think we are lining up for legal and possibly criminal action unless Esyasoft can smooth it over.

NTG, I think all speaking on hear are now holding at least a few shares. Also your own BB says why Esyasoft has not made an offer.

Evening Colour, no, mainly because you no more of share technicalities and I do not want to hazard any actions. However I will start the ball rolling with your line of approach. Over the years I have had contacts with JC and given replies, obviously there now seems to be doubt the 'jam tomorrow' responses.

About major shareholders

Can a buyer bid different prices to different shareholders or does it have to be all the same value.

Are buyers allowed to offer sweeteners to individual holders for a purchase.

ITT, I would say a minimum of 100p per share for outstanding contracts and current bids, and possibly an involvement with Esyasoft.

Plus dismissal of JC, that could possibly be arranged if they may get bad publicity.

Good observation Colour, on the face of it difficult, but in this day and age (not fingerprints) they trawl through every email, phone calls, accidental spoken comments. Many people keep recordings on phone, cameras etc.

That is a good comment Sandy, I was thinking that, how is an EGM called, who can call it and could it be called within a week. Anybody thoughts on this.

Hi all, very interesting opinions. I think the whole of CC Group needs investigation. We took Esyasoft loan to square off Axia at lower interest rate, but why take a 2nd large loan, JC just being greedy because it was there. We did not need it and were about to start receiving large income from Goa, AMISPs and 17 projects. Then we lay off 1st Sub for Gao to Esyasoft, why? Was this all a premeditated 2+ years cycle and have we been told lies to keep us calm. YES if there is criminality I think it should be hotly pursued. In my years gone by police, fire ,amb associated regularly and to my memory the knowing the group the City of London Police were hot stuff at fraud investigations.

Onbey, on second thoughts I think it would be wise now to buy up to the SP limit as more than likely if deal not proceeded with then SP would carry on up as before, prior to JC Feb RNS.

Morning Onbey, trouble is the PI's are shattered, having over the years footed all of JC's bills and got nothing. Question mark is, though unlikely will it all fall through. When time gets close with no change buying to the limit will then take place I should imagine.

The interesting bit will be has any fraud taken place, in this country once started they dig and dig and all parties, however remote will get involved, books turned over, emails read, telephone taped conversations recovered. People think they are exempt until the ball starts rolling.
