RE: Why has amit been selling ‘discounted’ shares in cloudtag?11 Sep 2023 19:51
Three days now since I asked why amit would have been selling ‘discounted’ shares in cloudtag to pis, given (1) that cloudtag itself [i.e. amit!] has confirmed an increase of 11.7 million shares issued since november 2022, and (2) on this chatboard both pointz and trombone posted that they know amit has been trying to flog extra shares to pis relatively recently.
the puzzle is, given that amit claims a deal has already been done quite some time ago now to sell tech/IP for more than a quarter of a billion dollars, and he also seems to be claiming that this $275,000,000 will be paid out very soon, then why on earth would cloudtag still be selling extra ‘cheap’ shares to pis just to raise a few thousand /tens of thousands $$$??
- since the deal is already done for the tech, there presumably aren’t further huge ongoing R&D costs. and given that the company is supposedly imminently about to receive $275,000,000 then it should surely be a pretty easy thing to arrange a short-term bridging loan for any remaining admin/legal/run costs, rather than sell discounted equity to pis?
(? and surely, amit as a rich man supposedly fully confident of receiving that $275,000,000 cash very shortly, could just defer his wages, or make a small loan to the company, or buy those ‘discounted’ shares himself?)
Patch13 said he thinks that amit *hasn’t* been selling shares to pis, and suggested instead that amit gave the shares to the ‘responsible agents’ as their cut for distributing the $275,000,000 to shareholders. (1) … paying them 11.7 million shares to do that would seem an extremely generous fee, if there really is a $275,000,000 deal? - (2) Patch appears to be saying that pointz and trombone are fibbing?
Shenners suggested that cloudtag has been selling those extra shares pis to pay ongoing run costs, but doesn’t offer any explanation why the company wouldn’t just use a small bridging load instead, and/or defer amit’s pay, or indeed why amit himself wouldn’t loan the money or buy the discounted shares, rather than flog ‘em to pis.
PikeyK suggested that cloudtag needed to sell those 11.7 million shares to pay for fixing the ‘technical’ issue that arose this summer. but that supposed technical issue was reportedly “minimal”, was fixed in less than a month, and of course wouldn’t account for any attempted pi share sales before july ‘23. … again, pikeyK offers no explanation why cloudtag would have wanted to sell 11.7 million discounted shares to pis to raise the money for the technical fix, rather that just take a small bridging loan, defer amit’s wages, or sell shares to amit himself at what ought to be a sure-fire guaranteed short-term profit for himself [ - if the deal is real].
nobody else has even tried to offer any suggestions why amit been selling cloudtag shares to pis in recent months, even though the deal is supposedly done and dusted with £275,000,000 about to arrive in very short or
