The Shareholder Group (including GP Jersey) is now proposing material changes to the Resolution, with the Shareholder Group stating on its website they will meet the costs of the investigation. At this stage, it is not possible or appropriate to vary the Resolution, as the Company has already posted the Notice of GM containing the Resolution pursuant to GP Jersey's Requisition Notice and the material changes proposed by GP Jersey would not be within the scope of the General Meeting.

Ø Had GP Jersey genuinely wished to revise the Resolution it could have followed due process and withdrawn the Requisition Notice, as requested by the Company, before the Company called the General Meeting on 13 August 2021, and submitted a revised resolution.

yes - also hard to believe that this company raised £3m only 3 years ago at 65p a share.

Once they get some numbers in and more visibility then the stock price should appreciate in line with the better prospects.

yes - it should be remembered that the recent accounts show that the company still generated £1.9m in revenue, despite having 9 months of the period, subject to the ongoing covid challenges.

With the first 5 months of this year having a negative impact, we will see far more revenue this year and the creation of the new LVSE division is already proving worthwhile.

we are moving to the endemic status of this covid issue, which means no more lockdowns and jabs for those that really need it - just like the annual flu shot.

as MB says, none of the recovery or future is priced in yet.

yep - i bought a good sized tranche towards the close at 2.48p. Current value, against the current exchange rate is 2.55p, so we have a small discount to NAV.

Looks like we are seeing some holders selling into weak markets, so i am lining up another tranche for monday, if we see further falls.

so, didn't they bother with any DD before participating in the placing and do they discredit the audit reports as at the last accounts, that they clearly voted to accept.

exactly mudpump - a new resolution would state this, however, would probably still get voted down, as they are getting desperate.

you know as well as i do, that they will turn every bit of information they found into a crisis and disaster, even if it was a perfectly reasonable decision.

The outcome of any audit, from their point of view, would be to discredit the current board - they would then submit a further set of resolutions, to remove the entire board, for perceived wrongdoings.

all the major influences in block energys sphere of operations are against this and want to see the company just simply drill and produce, so that the georgians can become more reliant on domestic supplies - they do not want these meddlers interfering. It is unlikely that frazer and co, will ever get any sort of warm reception in georgia in the future, after their dumb moves here.

this contradicts itself - they clearly state that the board need to make theirselves available as needed to speak with investigators - "as needed" clearly that could mean hours and hours each day, for ages, if they are planning to chalk up £2m of charges to the company.

Cost – As previously stated, the Concerned Shareholders are willing to meet the costs of the investigation having agreed with the Company the potential independent firms that would be suitable for appointment and the scope. The Concerned Shareholders are willing to make this offer legally binding (and for the Company to publish this via RNS) to remove any suggestion that they will back out should shareholders vote in favour of the resolution, or any other circumstances.

Management time – A properly conducted investigation should not take up material management time in a way that would distract from ongoing operations. The Company needs to give access to all relevant correspondence that relate to the scope of the investigation and make themselves available as needed to speak to the investigators.

the sole purpose of this concerned group is to distract focus and attention from operational progress - that is exactly what they are achieving on this board - we aren't talking about drill bit progress and future prospects, all we are doing is having our time wasted and taken up by this endless meddling and inconvenience by a bunch of disgruntled, underwater holders.

the board of directors are also having their time wasted and their focus on operational progress diverted to this endless dross.

frazer has nothing better to do than meddle between martini's - he would be better off, if he realised he is out of his depth.

the way forward is at the drill bit, the pumping stations, the oil and gas pipelines and the product sales, not with some disgruntled shareholders who have been underwater for ages and have a sulk on.

the resolution says one thing, the letter says another - as you cannot vote for a resolution that has been contradicted in a letter, then voting it down is the only course of action to take

cannot believe that they have sabotaged their own efforts like this - schoolboy error.

yes pawn - they cannot seriously expect to give an indication that they are likely to change aspects of the resolution and then expect people to vote on the original one.
