There are two parties (possibly) coming to the table. The buyer(s) and the seller.
Both will have in mind their own valuation of the asset (KM).
The up to £100 million is the initial buyer’s valuation.
I would very much hope our BOD has a valuation way way north of that.
I would suggest that the buyer will need to adjust their valuation before they get into the building let alone the room and table.

You are correct.

AMCs value is it’s assets, whether a piece of ground with minerals or cash.
Currently the piece of ground with minerals is held in a subsidiary.

If the buyer buys both the subsidiary and shares in AMC they are going to get money back by virtue of increased value of AMC shares.

You are correct that there are loads of ins and outs of the deal, but I was illustrating that the buyer either way will save by buying cheap shares.
