Valju - you asked if you have to declare if you go under 3% holdings.

If you sell shares which result in taking you under a declarable threshold, the yes you do have to declare it.

However, if your holdings are reduced as a result of a dilution (placing) then there is no requirement to lodge any notificatcation whatsoever.

Seriously guys, do the maths. Any holding over 3% has to be declared. The market cap of the company is 3.7m which means anyone holding 110k or more has to declare.

There is not Any institution holding any meaningful amount, and there never has been. Align took the shareholders for a ride and are now on val’s books as a paid mouthpiece.

January - no probs.

On Dec 21 they raised £430k at 0.75p after expenses and that lasted 9 weeks and 2 days or until 21 Feb when they raised another £430k at 0.5p after expenses.

And if as expected that lasts 9 weeks and 2 days it will take us to April 27 which is 3 weeks and 4 days away.

January- going on the previous frequency and amount of the last few placings we should have 3 weeks and 2 days of funding left.

No, I'm saying that we should take it for what it is and not make assumptions. it is a letter of intentions, nothing more, nothing less.

Once it is announced that a heads of terms has been signed or better yet, a contract, then we can start guessing (unless, heaven forbid they release some actual details)

If you look at 10 different sites, you could get 10 different answers. However the accepted legal argument is that a LOI is not legally binding unless stated so in the document.

It can resemble anything it wants, but it is still not a formal contract.

In that one example you gave, you will note they use the word 'Could' not 'does' and i'm sure since that specific case then all the solicitors and lawyers have learnt their lesson and won't repeat the same silly mistake !

Tony, the company can't give out any time lines because they don't know when it will happen, let alone IF it will happen.

Letters of intent, are not worth the paper they are written on, they are just setting out the 'intentions' of each party, not the committments.

I intend on being worth 10 billion by the time I leave this earth and that is my sincerest intention.

However, I haven't quite figured out how to get there yet or who will give me the money on the terms that I want to achieve it !!

But as my letter of intent states - that is the goal !

Freddy - VAL has been doing these 'shows' for 3 or 4 years now and not once has it done any good. they are legally bound not to say anything that has not already been said in an RNS, so why would this year be any different ?
