Surely some of the 65 will rise with the 35 against this incompetent CEO.

Yes he started the company but he clearly can’t be the CEO of a PLC.

He doesn’t have the abilities required.

I suspect that’s what The City realised very early.

MM would know most of the the 35 % would take anything over 150p?

So it suits MM and Apollo not to tell the 35%.

Apollo wouldn’t want to go hostile anyway.

It also helps MM keep it away from activist shareholders.

I suspect Apollo would also insist on this to stop other possible bidders having the information.

They likely made the shareholders they disclosed the price to sign an NDA.

It’s how they circumvented the disclosure rules.

After reading MMs posts I don’t think he would have taken any price as he doesn’t want to share management? That idea is even worse for him than being accountable to shareholders - even the 35%?

Given his attitude he should never have floated the company in the first place but now he should just buy it back?

Nutrition and Beauty churn the cash and no longer have rent but pay 35% to Ingenuity - that’s all in place

Their combined EBITA margin 6.3% after the above with a target of 9%

So spin out Ingenuity -which was always the commercial option - assume Apollo think it’s worth £1B as indicated, sell them 50% in that one entity, Ingenuity is debt free and has £1/2B to roll out the SaaS element ?

Surely thats a deal that everyone wins? THG, BoD, the 100%? And Apollo ? Put aside Ingenuity staff/ customers ?

Throw in Ingenuity requires annual £135M intangible capex for MM to fulfil his plan

I don’t think we can do a buyback or that’s even commercially viable

Ideally we continue to reduce debt - we had £70M FCF and same debt reduction since October last year

Get the net debt down and we save £60M a year in interest when the Bond expires

Ingenuity needs to be spun off / raise capital if MM is correct and Apollo value it more than THG on the market today cut a deal with them to buy into Ingenuity and spin out ?

Maybe if he spent more time looking at spreadsheets he might have realised this as well as realising he was going to miss his 2022 targets?

He has boxed himself into a corner with no way of financing his 135m per year required for ingenuity.

That’s before funding growth and acquisitions.

The II shareholders won’t roll in with Matt if he tries to steal it from the other shareholders.

I know Matt says 65% are loyal to him but I think it’s like his whales - I pack of lies.
