Thoughts on timings!4 Oct 2020 11:38
I know it will be when it will be, however humour me if you would.
I have said on here several times, notwithstanding the likelihood that discussions had perhaps been going on for sometime, I believe that at the point that the FSP was officially announced some form of timeframe for prospective purchasers would have been given. It is inconceivable that we would start an FSP (note the word 'formal') and say ' yea no worries, take as much time as you like, just let us know when you think you might be interested and we can chat a bit more.....'
Nah, I am not having that, a timeframe would have been given to all those involved at that moment, so the question for me is what would that timeframe have been?
I am still thinking 12 weeks, why? because it is the most logical. It wouldn't be 2 weeks or even 6 for such a big deal, nor would it be 6 months IMO, certainly not 7 weeks, or 2 months, or 15 weeks for example, whoever says that?
No, 3 months or 12 weeks is definitely the most logical and also seems very reasonable for DD to be done and offers to be made.
Now if we accept the above, where does that leave us? - FSP announced July 1st, 12 weeks takes us to September 23rd.
We then had the RNS on the 30th September which included the phrase "....recently appointed DLA Piper on the legal side...."
Many on here have speculated as to when 'recently appointed' actually was, how recently is recently?, well maybe a week or so prior to the announcement, just as the 12 period was ending perhaps......that would be recently.
As many have also said, you generally appoint solicitors for your house sale when offers have been made, just to carry out the details, not before. I know this is not a house sale but principles are similar, maybe they would be required a little before final offers but certainly only once you know an acceptable offer or offers are going to be made, that would likely have been clear as we got to weeks 10, 11, 12, maybe even earlier.
So the timelines all work for me, only question is how long will DLA Piper take to sort it out - on that I have no idea. However I am sure they will be involved right through now until the deal is finalised, in the meantime not much stopping the company announcing what the acceptable offer is, while they operate in the background, there may be some details to sort out but I would expect to hear something sooner rather than later.
However long it is, we have the one of, if not the best M&A lawyers in the world sorting it, now ain't that something!
