Any M&A deal is difficult - FACT.....Have a look at the Wood group/Apollo deal as a current example. The Bloomberg opinion could be applied to any deal regarding the essence of the piece i.e it is difficult for parties to agree terms. Wow revelation....I do not think so!!!

What you need at the highest level is 2 parties willing to engage and find common ground.

We have that in spades.....Moulding wants a city exit quick smart, that is beyond doubt from the various Linkedin posts and the GS means his leverage has gone to do anything else but get a deal done.

Apollo....this is what they do....DEALS....they are not here to mess around and by bringing industry leading experts to help the construct of the deal really matters and is significantly material.

Ultimately all parties have more than enough motivation, key rationale to get a deal done that works so that everyone WINS and is happy.

Apollo probably get a 20%-30% discount even at £2+ this year because of exchange rates and the economy in general alone...they know that.

I hope no PI's lost or made bad calls because of the shenanigans today.

We have all discussed the make up of the deal on here and the conclusion is PI's exam point is the price as opposed to the deal breakdown. That price should begin with a £2+ THAT HAS NOT CHANGED THIS MORNING

Any showstoppers would have been identified and flagged weeks ago from the negotiations. At this point it will be the finer details to finalise only. THAT HAS NOT CHANGED THIS MORNING

Apollo investing X billion, they would have a plan for 'root and branch changes' and for it to be managed and governed their way, all key strategic changes to made by Apollo......but no, happy to invest billions and let THG make the wrong calls or calls they fundamentally disagree with...zero chance.

Reality - How does it work??

The RNS stated that Apollo have put together a proposal to acquire all shares (that would include MM's) - Fact

There is lots of chatter on here that it will be definitely be an MBO. There has NOT been an RNS stating that Apollo have changed their proposal, there is zero factual evidence as yet that Apollo are considering that model- FACT

If it is an MBO, do you think that Apollo will want to invest X% for Y shares and let MM continue to run the business as he pleases with zero influence? - Absolute factual dreamland.

Lots of nonsense on here stating they saw MM flying a plane stating deal done on here which is not helpful to PI's.

This board should be based on FACTS and FUNDAMENTALS to support PI's. GLA

Card only released a headline figure to ensure market continuity until the detailed results are released next week. FTSE's always, always hold back key material news until results day.....otherwise what is the point in results day. It is the day for a FTSE to shine and be in the spotlight, particularly if the company is performing well. I used to be involved in the results publications for a leading bank and you would always ensure that key secret squirrel news is released only on the day.

It is important to impress analysts, markets etc if performing well and the SP should then have a significant re-rate on the day and moving forward.

Boom278 - There are 2 levels of DD. First level is higher level you are correct. But all key red flags are identified at that point to allow the Apollo exec to make a call on deal price and whether there are any showstoppers.

Post deal, next phase is transition to change in control and a further level of DD, heads of terms are already agreed.

Couple of pointers for PI's (P.S I made a tonne of mistakes from investing over 20 years as all PI's should - it is the way you learn and have become much more informed in making the right calls.)

A PI needs to have positive affirmation in their mind in terms of what they are doing, focus on the fundamentals and the FACTS. Everything else is noise.

As per my post above, it was obvious what was going to happen, that is just down to experience, hence you can probably assume what I did pre the bell on Monday.

There is no guarantee of a bid, that is a FACT (i.e any red flags that Apollo find in the DD need to have sufficient mitigations). You then need to think about the probability of a bid (which is in PI's favour at the moment).

There is no guarantee that a bid will be accepted - FACT. Again you then to think about the probability of a bid being accepted (which is less than the point above).

What PI's need to think about......if you are in significant profits, currently, you can top slice, modelling etc that works for you.

If you have positive affirmation that a bid is coming tomorrow etc, then you should have a different strategy.

The SP will find a new baseline over the coming days and the shorts are not getting squeezed and the shorts will become less squeezed over the coming days and dark arts will continue - FACT.

Key NEW material news needs to be released for the SP to spike again.

This board has become diluted with nonsense. Remember de-rampers and rampers are in the same bucket and are not helpful to you. There remain a couple of good posters and you know who they are.

Good points ***en.....ultimately I think there is room for both as they provide slightly different offerings re online Vs retail. Ultimately buying cards is a staple diet of our culture which can only generate higher revenues as the economy improves through the year. With the right strategy (which I firmly believe Card will be communicating next week they could eat into Moonpig market share over time and also the smaller retail owners.)

Agreed Stach, this will hit 150p next week as a minimum in my opinion.

Key potential updates that could move it further are announcement of returning to a dividend in due course and the capital markets strategic update at 11.30am next week. Great management team and I expect an excellent strategy to be rolled out and communicated which will please institutional investors.

My personal view is that we will not get an offer until on or slightly before the deadline (15th May). There is a hell of a lot of due diligence to go through when you are investing billions and there is a shedload of governance and approvals to attain internally before making a bid to name just a couple of time consuming tasks. There is no benefit to Apollo to not utilise all available time.

Bit like when you did homework as a kid.....you never handed it in a week before!

Also for whatever reason big round numbers plays mind games on investors (have never understood the psychology) and are always, always difficult to break through without further material news.

Shorts are probably working out a game plan based on the period available before they implode.

I am not expecting any significant spike from here until material RNS on offer or until shorts have thrown their last dice just to manage expectations.

Not sure what the game is regarding share declarations...it is meaningless and I am uncomfortable what your game is Polishcap and I would love to not see the thread in my eyeline when I scan this board next time. I have not seen any value from you....unless you are creating a fund for us all to make the same call at the same time???

The relevant point is what is circa the total free float end of which we should have an idea post all rule 8 declarations.

Remember remember that unfortunately nothing on here moves the dial on the SP as we do not do anything at the same point in time.

Remember every good PI on here is as important as each other if you post informed/factual info whether you have 1 share of 8M shares.

The only reason I am oh here when i get the time is to support PI's and ensure that do not listen to $hite from disingenuous posters who are supposedly on here for the good of their health!! The only challenge I can come back with is that when we were launching a new sharedealing platform a number of years ago and what sources investors would have access to in the research centre.....investors chronicle, Motley Fool etc were de-listed as serious investors do not lean on their advice from feedback as they are wrong much more often than they are right.

If it is your 'go to source' so be it.

The FT have hammered MM for the last couple of years and MM had his revenge on Tuesday as the final goodbye. But to be fair to the FT, they have not held that against him and probably through gritted teeth have published a positive article on THG, which aligns to what PI's have been forecasting regarding realistic valuation. Like it or not the FT is a 'go to' source for investors, which is great for PI's.

Our friends Kelso have also re-confirmed what we already know and their analysis/valuation but the good thing is they will help PI's in keeping Apollo honest on the agreed OFFER price. Again all great news feeds for PI's, investors and the trajectory of the SP in the days/weeks ahead.

The gut feeling has to be that the initial OFFER must begin with a £2.XX.....no idea what comes after the decimal point. Apollo are likely to have been working to that type of OFFER anyway. At the end of the day Apollo still get a sensational deal in terms of where they can take THG over the next 5-10 years and the majority of current investors should be content.

Another bidder announced over the wkend by the media will fast track getting the acceptable offers on the table and the deal done.

This afternoon will be interesting when the Yanks get moving.
