We believe that given the breadth of gold assets within the historic gold mining district of Victoria, Australia, such a listing could ==command== a ---pre-money market capitalisation of £ 1 5 million, giving the recent listings of =similar= resource =exploration= companies...a risked estimate of £5.6m is derived for RRR's stake [£15m * 0.51 * 0.75].

Comment:

So, the above from FQ stated that 50.1% would equate to risked £5.6m and 100% =£15m [unrisked for no need to wait 18 months at risked 75%]. At the time of this FQ's report, Southern Cross Gold, ASX was 75 Aussie cents [now A$2.45, mkt cap A$484.4m]. In terms of A$, £15m pre-money would be A$29.1m [FX £1=A$1.94 today].

Juxtaposition this with what RRR paid PoW in total [much to come] of £1.5m [RRR valued at 0.15p etc per scale upwards as well] in exchange of £7.5m in ==pre-money mkt cap.==

I provide the above to reply to Dogs - the above shows whether it was a good deal or not for RRR to buy 49.9% worth £7.5m per FQ, Jan 2023 for £1.5m much of which has not yet been paid. Note what Helpful said that since then gold prices have gone up and so has mkt cap of the nearby co/s to RRR 100% Kilmore and the interest is there inc mkt conditions with Fri, 16.8.24 RRR RNS stating: "NDA's & potential partners" [plural] for listing ie shell [interview this Tues].

So, not such a lame duck after all eh? Folks will be interested ie shareholders. DYOR, NIA. Have to wait for next update to see what valuation has been put in ie implied in the shell vend into for RRR 100% Kilmore given RRR mentioned Southern Cross & Sunday Creek , their neighbour in the 16.8.24 RNS.

Fact 3: No one knows ==yet== how the next £250k will be paid , so it is pre-mature to say that there is dilution ["mass"].

This is being repeated again and shareholders of RRR are now interested in the potential of FASO, DRC & Australia, of which will come in the next update to come per the Fri, RRR RNS of 16 Aug 2024.

However, I highlighted the procedure to show it is not tis or that but the international litigation must be also dealt with as that is part of the Tribunal outcome in the DRC. Time is passing by and it must be filed in time and therefore what the DRC govt will say to Bell at the Palace to come is of interest isnt it?

Fact 1: The Australia purchase from PoW of their 49.9% of RRR Kilmore had to be passed by shareholders & understood it would need to pass a minimum company Law threshold. There was not enough time to call for a s/h vote and therefore major shareholders of RRR voted and approved the RRR purchase of 49.9% of what they did not own of Kilmore etc.

Fact 2: See, it was not Bell's gamble but voted through with the pre-requisite voting no's to pass and Nomad's approval to do this.

WHAT IS RRR SOLD KILMORE TO POW?

It would also , may have required voting and if there was time, it would be put to shareholders. So, well regulated eh?

IS RRR NOT RIGHT TO BUY KILMORE FROM POW?

The RRR Fri, 16 Aug 2024 refers and it is of no doubt that the value would have to be more than £1.5m in total to be paid to PoW is it not? Gold is now over US$2,500 a new historic record high and the valuation report done at the deal struck with PoW would be redundant if it were to be done today given antimony prices as well -depends on the modelling etc.

So, in retrospect, the listing with NDA and potential of Chairman Bell flying out to Australia may come next per interview on this Tues. So, isnt that brilliant per the major shareholders who voted for the purchase by RRR from PoW.? But those posting are ==not=sharehodlers at all, so one does wonder why the over-sight as it appears if it was done all per the regulations under British company law and London Stock Exchange regulations? Just askin.

I just looked at my Twitter & Chairman Bell per my notifications has re-tweeted my: Antimony prices to surge article. I am pleased about that as it means that Chairman Bell may be aware of the surging antimony prices due to the China export ban but that article cites Hallgarten analysts as to the price potentially [extra info]. I dont often tweet to Chairman Bell except for Kilmore relevance. So, I am pleased that going into the NDA and deal, that will be of interest.

I did not mention that ==before== RRR can even start a potential claim ie ==file a claim in=== for international litigation per Treaty of Rome in London or Switzerland [Helpful kindly informed about RRR is not under Washington int. tribunal], RRR must ==first==approach the defendant's to propose an amicable settlement. All =courts== want to see this written or spoken [recorded] proposal. And ==only if the other party ==rejects the settlement , then only can one put and file in a claim. Counsel for RRR will also want to know the prelim of what the DRC govt will say or not say at the "Palace" [mentioned in this Tues interview by Bell]. Once Counsel knows, only then can they frame the writ to come. Chairman Bell has committed himself not only by interviews, RNS but more importantly, this matter was in the Auditor's long statement in the last Annual Report. it was good of Bell to do so , so that no one running RRR will be able to say oh, we dont want to take it up given that is a potential asset isnt it?

Chairman Bell will have to do the preliminary as Counsel cannot just write out a writ without some prelim talk or mention of hint in this matter. It also depends on who exactly will be the defendant [singular] or defendants [plural] as I have not seen the legal papers. It will be in French anyway.

There is a time-limit but I dont know about international tribunal but in civil cases it is 6 years from start. The Musoni licence [50.1% to RRR] started 2019 so time is running on. So, this matter will have to be also updated sooner or later.

Yes, one way or the other, the "Palace" meeting will produce an outcome. It is encouraging that the meeting is at the "Palace" and Bell cant have suggested it either as it is not his to call. So, here's hoping. News, 17.8.24 [Sat]. All in known procedure and for an example: Read Cadence and the same procedure started inc. also by Ganfeng on Sonora's loss.

Oh, if I read it correctly, the defendant due to have to fly out to Florida for the case said he merely ==repeated==. Ah, so, he didnt study basic law. I think you will also note the State of Florida litigation that is on Twitter relating to naming someone by their real name on Twitter. Helpful was named more than once by his real name on this forum even though it is against chat rules. However, the source was first on Twitter via an article. In recent days, that link to the article was not allowed on this site and the printed out was then posted in tandem or separately - again removed with the mention of Helpful's real name and details. Any wonder why it was removed? Now, the defendant has asked Elon about the matter as the defendant I believe lives somewhere in Europe but will be flying out to the State of Florida where papers have been served.

I have just checked [1st round] and the DRC has not declared any travel restrictions ==to== or out of DRC.

Chairman Bell per this Tues interview, is assumed to be in Faso or will be in Faso. Then, he goes back to the DRC to the "palace" per interview for "finalisation"- so hopefully, he makes the window if he keeps on checking the announcements.

Background to DRC:

Helpful said , quite rightly by industry logic, that once the DRC Tribunal has ruled, then it would pave the way for international litigation. To this end, in various interviews, RNS etc, Chairman Bell has mentioned this and that initial legal counsel's advice was taken.

So, per the RRR RNS of Fri, 16 Aug 2024, the word "Tribunal" was quoted and that finalisation of the Rappel [interview] was submitted by RRR Counsel to Chief of Staff of DRC for the PM or President [not sure if he answers to President as well]. That said, it is now established the licence of Musoni was 50.1% to RRR at Tribunal level in the DRC.

The letter to the Chief of Staff was copied to the Ambassador which presumably means British Ambassador to DRC.

In the discussion today, the above must also be taken in per the next update to come as the international litigation outside DRC was mentioned more than once in interviews, RNS, Auditor's Annual Report. I am mentioning this because the Swiss ruling by the Attorney General and fine /compensation has now put RRR in a much stronger position in terms of general legal outcomes in DRC.

So, to the poster who said tis and that , well, here we [RRR] are, at this junction and the said RNS would have to have been reviewed by the Nomad & the papers seen. So, the licence was RRR's 50.1% at Musoni.

RRR RNS mentioned Tribunal and Tue interview mentioned "Rappel" twice sent by RRR Legal Counsel. Helpful also pointed out from the interview, Chairman Bell said verbatim: " A better results than before" but the full sentence was: "We are getting a good result - a better result than before."

What will it mean as Chairman Bell goes back to the DRC to "finalise" the said matter relating to the above.

As I said, given what was relayed to the Auditor in the Annual Report which was stated by the Auditor himself, broker report & interviews, both the President of the DRC at the Palace meeting or with the PM and advisors must be aware of the potential litigation to come outside the DRC and one major that has just paid out per the Swiss AOG ruling [provided the same major as principal party but I am not privy to whether party or parties given I have not seen the Tribunal ruling etc].

I can see any assumptions made by Helpful , not supported by the interview of this Tues and follow up of the RNS of Fri, 16.8.24? The RRR RNS, 16.8.24 stated: "NDA's" & "potential partners" [both plural ie more than 1] vs Tues interview, of Fri NDA sent & signed which was 1 ie singular.

So, in the interpretation, would that not mean that phones would have rung [or by other communication but the term phones is just a phrased us as with GGP]?

So, with the gold price and antimony price, isnt it also true in the market, the Sunday Creek neighbour at RRR Kilmore got more attractive as a vend in listing on the ASX compared to Southern Cross Gold [SXG] with a market cap of £482m? The SXG price remains steady due to institutions holding it with traders not able to make a dent with noise , so much so, not much posting now. Everyone appears to realise that further upside for SXG can only come at =this=time , IF, a new discovery of high grade is made which means =a new value=.? SP Angel's partner said that if more discoveries are made for Solg, as an example, then the valuation goes higher per theory. So, in Victoria, Agnico has just report results & the gold price upwards underpins the Victoria gold scene so much so, folks are prospecting in Ballarat.

All the comment is from the surrounding RNS but given those who have experience of other Oz stocks, can it be assumptions or isnt it ==Industry Background== info? Heard the same about GGP ie from Gervaise isnt it?

In brief:

The RRR Fri, 16 Aug 2024 has now stated definitively the status of RRR Faso, Congo & Kilmore which followed up on the same Tues interview by Chairman Bell with Stockbox. A 2nd RNS was issued and the conversion of shares was at 0.045p for £20,000. Juxtaposition this with the RRR-PoW deal valued at 0.15p and higher in staged levels [see details].

SHARE PRICE: The spread of 0.5-0.6p was present towards the end of the day but that was not live price. Spread changes between 0.5-0.5p at times, again not live price. MM's are said to read RNS and accordingly they also have Bloomsberg professional City terminals that appears to show latest institutional holdings and no doubt the same data of Analyst target price which I am sure comes from the same FT source of data bought in but perhaps they can call up the broker report that supports the t.p.

TWITTER: There is a lot of upset & not sure what will transpire next. So, a point to note given Theeeeduke last night tried to tell me about history & all that - inc the previous night.

LSE STOCK FORUM: This is not the real world given the real world consists of the MM, Nomad, Auditor and the regulatory authorities who work to a framework. Thus far, all the noise for months now , starting 16 Feb 2024 about RRR AGM and authority to issue and issuance has not fully taken place. The fact is RRR continues to be listed --the latest Fri RRR RNS as above now establishes the co going forward. One point I would like to add is that George has hit on the high grade zone section in the Pilbara & the price rose accordingly & impressively. The ability to raise convincingly therefore in capital markets appears to have changed of building to a crescendo of a lower grade to high grade. So, RRR will have to look for the high grade equivalent Rising Sun as with Sunday Creek@SXG on the ASX first rather than the old model. Many will not agree but the stock market runs on the game set by the industry eg GGP with 30% share of Havieron [5moz thus far for 100% share] but still valued at £379m with =no income= no production= etc. So, value in value in situ - WH Ireland follows this methodology but other Analysts follow the NPV route. Similarly, the coming potential =listing= of RRR's Kilmore into a shell will also have to be valued for vending & gold price is also in the mix inc antimony [costs and all that metries].

It is now Sat, 17 Aug 2024 and RRR is starting off without the past assets & all to be now on the current projects. Ya know, I have never seen anything like it in my whole life. Helpful posts on this forum and it is everyone's duty to check for themselves. For example, Helpful said that RRR's assets are better than PJ's. I already posted about it today. PoW has some 49%+ of GMET. In the normal course, PoW would have sold down as that is what they are supposed to do, sell and spin out more and more projects. But they have =not= sold. Why? They are aware that GMET is the strongest project being in Nevada near Comstock. If they sell, they could make the same mistake Mawson made and as Helpful said, if Mawson sold their 49% down of Sunday Creek, they would be in a real soup. Why? Sunday Creek is 1 of Australia's most successful stock. Its like selling a champion race horse to buy 20 unknowns in the hope it might turn out and does it? Ah, chances not too good is it - bird in hand and all that.

Wah? The ... thrown at Helpful is not a joke is it? Ya know there is a hefty fine and jail time of some 10 years. Knowing the mechanics , I was aware there was ==no proof== legally to substantiate the ...of sider and all that. Trouble is, few read the RNS and interviews or externals. Theeeeduke, History is not a good investment strategy. Let me give you an example of GGP - it had been going on for ages & nothing found & once Ernest Giles did not hit the gold, Callum was forced to step down. Forced as in, let someone else have a hand. In came Paul Johnson & Bell as Chairman & the rest is history. Now, they call GGP legendary because it hit a legendary mkt cap of over £1bn from a shell. Gervaise was hired from Sydney, a fund mgr & they started with Black Hills, Paterson and that wasnt successful and then they bought a licence at Havieron, Paterson. 1st grumble: Oh, it used to belong to Newcrest & therefore, it is a cast off and nothing must be there. Hole 5 results came out & no one could decipher the results but per The Australian, the largest newspaper in Oz, they raved about it. My, the attacks by the bears on Gervaise over nuthin. Cut to the chase - the =drilling= results told the story. None could read results and that is fact now otherwise, they would have jumped in. Anyone from then on this forum? I think not as I dont see any familiar names.

How is this relevant to RRR? Does logic not say, nothing happened at GGP with Chairman Bell in charge? Has anything untoward happen? Anything reported officially? Nuthin. Fact.

So, this twilight space isnt real cos in the real world , ya know , as in the work place, they check ya know licences, assets etc. So, one has to ask if no one has ever put folks straight - read the apology G.C wrote without 1 qualification at all. Chairman Bell made it across the line for the deal & Kilmore was not yet fully understood yet at that date. So, yes, it is now revalued further to the deal due to the price points of gold & antimony. May I also highlight a point to be made to Chairman Bell & that will be Carlow Castle, Pilbara. you may have seen the pic shown by George & it is almost as large as the one found by an Aussie yesterday near Ballarat, Victoria, Australia. Chatter is now how was it missed at Carlow? Well, George tends to be systematic from the way I have seen him operate & he must have got in some real experts. Similarly, Chairman Bell must now look for the right Geo as Kilmore & Sunday Creek are in vein sets & ladders [terms used by SXG Sunday Creek]. Next the Geo /CEO must be able to attract institutional money, not traders, hence why the SXG share price is steady at A$482m. Coming back to DRC, the point I also wish to make is that Auditors do asset listing & in the case of RRR Annual Report [last], the Auditor did a detailed statement about DRC International Litigation etc. Therefore, Chairman Bell was good to bring it to the Auditor's notice & now noted officially and can ==never== be subsumed, so that is also something that needs to be disclosed to the market.

As for Pumpky, he said : "If Bell is to be believed." Well, look at the PoW deal over New Ballarat Gold Corp and the evidence is [1] it is registered at Companies House Govt UK so it exists and has to file. [2] The Kilmore licences have numbers and the external check is that PoW owned 49.9% and they commissioned their own Geo Report which one can see on my timeline pinned. The no of the licence can also be checked at the Australian Mining Dept but Pow has a copy of that. [3] The NDA signed - they want to see the title of the licence as a 1st check, then the NE43-101 , RRR Geo Tech Report & PoW Geo Report. [4] Helpful : he did say that RRR has better assets than PJ and isnt that true given I posted Miners Deck today about Kobo making the drilling results ranking ? So, isnt that a good asset with the Germans putting big money in to fund Kobo? [5] Isnt El Limon mill starting & isnt that from Soma Gold themselves on Twitter -they have big profits and can afford to pay the royalties which is tiny in comparison. [6] RRR admission document was based on MT IDA and isnt it in the news and via 2 co's ANN on the ASX that Gina Rinehart, Oz's richest person is at Mt Bevan, contigious to Mt Ida and that she did want to get in on the Mt Ida funding? Isnt that real given it is from 2 ASX co's RNS? What is real is from external sources but here on this forum, it isnt real to some people isnt it? Why? Cos it doesnt appear to support tis and that? I checked RRR Greenland-via the licence & it can be found from Greenland Mining Dept & till today, no co has developed it or sold nor is there a Greenland mining boom so it was a blip due to folks not keen to open to mining etc. So, check for self.

Thank you for confirming the commercial astuteness of Gervaise re: GGP's history. I would like to touch on 1 subject matter as well as to tie up loose ends. But first I wish to discuss RRR DRC and what Chairman Bell said in the interview. He said he had hoped to finalise the DRC arbitration Rappel but I think the papers have to be processed by the Chief of Staff first so that at the coming meeting at the DRC "Palace", it will be ready by then. From the interview & RNS today, Chairman Bell is in Faso, hence why being out in the gold camp, he cant tweet etc as normal as in London. I believe Chairman Bell came back to London , not only for a meeting but rather he would have to get further guidance from a London specialist counsel given at the Palace, either they will broach the subject further or they have already put it to Chairman Bell that the award release is discussed in tandem with the international arbitration to come. In commercial dealings , one must come prepared esp if it is to do with release and litigation. In this regard, Chairman Bell cannot not inform the market given the Auditor included it in the last RRR Annual Report about the further litigation to come outside DRC.

I was also right about the other forum now rather empty as I now see new names on this forum from old when I looked in years ago. In many forums, the state of play is not like on this forum where only me, NikeAir180 and yourself Helpful are posting from the vantage point of the balance between the assets vs obligations.

You will note that we 3 live in the real world & as an example today, I tweeted the RRR RNS "Update on Australian Assets" to Lassonde, Rick Rule, Eric Sprott, etc. Why? Since I tweeted about Kilmore and it is from a name they are not familiar with on a personal basis, then in tweeting the RRR RNS, Fri, 16.8.24, it means that a Regulatory News Service has been issued and that NDA's & potential partners [plural] are in print and that it is to do with "Listing" of RRR 100% Kilmore. Yes, only Kilmore is of interest to the listers and RRR mentioned Kilmore only by name and that it is on the border to Sunday Creek of the legendary Sothern Cross Gold. There was in fact only 1 NDA signed on Fri but since then it is obvious from today's RNS, that it is now NDAs and potential partners, in plural which means more than 1 now. How can it now be given Sunday Creek is now in favour and wanted by global investors ,hence it is now dual listed in Canada by request.

Enough to make 1 of AIM's greatest comebacks? Ah, we , in the real world of commercial reality await the next update and Chairman Bell to fly to Australia potentially and outcome of Faso & DRC - all in play now and evidence is in the outcome in print to come, eh? I could be wrong given I have never participated in CLN's etc. However, one of Sunday Times Rich List wanted GGP stock and he contacted Gervaise and asked if he could issue stock to him [PPP just had one investor wanting huge stock of some £300k for himself] and GGP would not do so. Why? GGP was on its upward trajectory given the Hole 5 results were already out so the stock was rising like dizzy. So, isnt that why RRR only agreed to convert £20,000 to an existing shareholder and no more? So, as a matter of giving a bit of leeway instead of saying no altogether. Dont know but that is my empirical experience but not having the personal experience, I would run this off you. I understand if you cant reply but that is my theory only looking at examples.?

How do you know? I mention within the spread simply means that at different times of the day, the MM's can vary the buy and sell price & this is not just RRR but lots of stocks on AIM. When I ask how do you know given you said you have ==no==shares in RRR. Within the spread is quoted because one is not allowed to give out =live prices= during the day when the market is open. However, after the market closes, then the live price becomes history. If you dont have RRR shares , Sir, you can be testing ==live prices to buy or sell, can you== with none to sell? So, in retrospect, I think many traders will know what I mean. Lastly, look at the wording of the RRR RNS No 2 issued today, Fri, 16.8.24 and do you see, Sir, the wording 0.045p with the word, at % "DISCOUNT" to current price anywhere in the RNS? Well, then. I rest my case.
