Yes, the pre-IPO round will be to release funds. Then, upon work etc, the IPO potentially.

Customs & Excise is not exactly a precise science. Why? At the entry point, it is cleared etc. How the treatment is done is up to the C&E officer. If you consider that some of the EQUIPMENT ARE ON HIRE, it will leave the country once the work is done, so how can that be TREATED for C & E as norm? Just 1 example. So, it is about category etc. One cannot arrange BEFORE HAND. This is NOT the usual C & E for travel if you must know.

Some points to consider:

[1] The RRR-POW agreement deal date was set as norm for all legal purposes. However, due to an ASX ie Australian Stock Exchange holiday on the Mon, it was delayed for 1 day. It does NOT necessarily mean it only could be due to an ASX co [I posted nothing last night] but RATHER they were waiting to hear from the ASX itself ie Exchange in Oz. Why? It is either a JV, sale or Oz IPO.

[2] Presidential elections. For clarity, all that has happened in the DRC is not the normal events IF one read up on the DRC politics. Why? The previous PM quit and that threw the spanner in the works until a new PM could NOT only be appointed but it must PASS the NATIONAL ASSEMBLY by voting otherwise all the other Ministers cannot be voted in. All this is 101.

[3] Carriage by air. In many cases, VAT to such an extent may not be the norm either?. That is something not in any co's foresight given it may be not standard application and I think its best not to comment on another country that one is not familiar with.

NON RRR SHAREHOLDERS:

Many have stated they are NOT SHAREHOLDERS of RRR. Hence, they are NOT on the RRR Register to vote the deal through. SUFFICE TO SAY, EACH ONE HAS TO DECIDE FOR THEMSELVES as NO ONE CAN GIVE ANY FORWARD GUIDANCE.

I also wanted to mention that SP Angel has won prizes for the top London broker for certain previous and other metals. It would occur to the senior analysts in SP Angel of London that the TOTAL VALUE OF THE DEAL at £12M [100%] of NEW BALLARAT GOLD CORP is a very hefty price. All good but it is not the norm for co's to have a A$22m value BEFORE a Pre-IPO or IPO in Australia. The last First Equity Note in 2023 stated that if NBGC was IPO'ed in Oz, it would be the A$20m minimum that is allowed on that exchange. So, many have not realised that had NBGC not been NEXT DOOR to SOUTHERN CROSS GOLD OF OZ, MKT CAP A$545M @Sunday Creek, it would not be that high a valuation. Just next door is also not enough but rather that KILMORE-KILMORE WEST WAS the 1st gold mining town and there are 2 marked mines per Dr Nick Cook's video presentation of Sunday Creek is what differentiates this deal? So, waiting to see how my thesis plays out when the RNS arrives both at POW & RRR? Interesting.

I will just throw a guess whilst we wait for the promised news. PoW's Nomad is SP Angel with SI Capital & First Equity as joint brokers. It is possible that SP Angel is reviewing the AIM Rule 15 in greater detail as they want to view this more closely. I say this is because it would occur to anyone that RRR is a £2.7m mkt cap co and PoW £21m whilst the deal is in total headline a £12m deal [£6m & £6m implied top line based on RRR 0.15p which is 3x the current mkt cap/sp.]

I cant see financing a major hurdle to clear given that it has already been thrashed out earlier and that aspect, the Nomads of both co's have NO oversight on as to what has been worked out as its their investment banker's role?

Why do I think this is the only reason for the greater scrutiny? It is due to £12m [100% of New Ballarat Gold Corp] vs £21m mkt cap for PoW. As I said, which many of the residents here appear not cognisant of is that £12m for 100% of NBGC is a very SUBSTANTIVE value. Cant blame the Nomad due to the new rules and that they must ensure there is no later implications from shareholders as in the USA? Just my thoughts and for an intelligent discussion only. For those who are interested in compliance law.?

The volume in RRR shares appears normal today as opposed to yesterday's big buys totalling >6% of RRR mkt cap.

No RRR or POW RNS yet on the above deal. IF, the deal has NOT gone through, then its a matter of a simple RNS ie deal agreement has "legally LAPSED." So, why it is still not out yet, IF gone thru, must be it needs BOTH co's legal counsel to also pass it. Why? If the deal has gone thru, it needs to be VOTED THROUGH by both sets of shareholders as at X date on the registry. POW's NOMAD has to review the deal so that the co has NOT sold a substantial part of their biz otherwise AIM Rule 15 kicks in. No one knows how the FINANCING has been done but it must be more detailed in nature.?

I checked the news online and found that the BBC covered it ie PM appointed. But I couldnt read it as it was in Congolese and no translation. Later, I found the news about the PM of Congo sworn in. However, that is still NOT good ENOUGH as it has to also confirm that the rest of the 54 MINISTERS have been sworn in , on a MAJORITY vote in the National Assembly, hence why a 2nd post.
