Comment:

There you are Mr Tray , all known 101 about IPO's. RRR has never given out how much is to be RAISED, how much of NBGC they retain, NBGC VALUATION @IPO etc.

Given that SXG Sunday Creek was a new IPO on ASX , the MKT CAP IS NOW A$545m.

SXG AND MAWSON OF CANADA WILL MERGE ---Mawson will give up their substantial stake to merge INTO SXG of Oz and take shares of SXG. Why? I posted last night that it must merge as institutions dont like fractional ownerships. Easier for funding as well and clear overhang.

EVENTUALLY, this will also happen to RRR-NBGC of Oz if listed in Oz. RRR will have to merge with NBGC of Oz the other co run by Australians. Why? Same reason as why SXG & Mawson have to merge. MAWSON of Canada started the Oz project in Victoria but they spun it out to Oz but retain a large stake, so large it was. Comment: So RRR now owns 100% of NBGC of Australia = £6.8m x 2 or 1005= £13.6m. As Helpful stated the SUNDAY CREEK GOLD LTD valuation starts at A$20m given this is known as the minimum to list on the ASX. BUT NO ONE KNOWS the Valuation at the momo as that is not in the public domain yet.

So, I have just finished lunch and provide EVIDENCE which is from the RRR BROKER themselves. Yah? I took a lower figure of £12m for 100% of RRR NBGC of Australia. TO BE RENAMED: SUNDAY CREEK GOLD LTD.

Even yesterday, it was discussed to great length and either you or someone else said a lot of points are silent. That will come later will it not via RRR RNS and nothing to do with PoW shareholders anymore.

RRR bought out PoW's 49.9% share for £1.5m.

RRR owns the other 50.1% of NBGC.

So, by paying £1.5m to POW, RRR will now take NBGC to the ASX for a minimum of A$20m per ASX listing rules.

All in the RRR RNS of yesterday, 12.6.24. Also in the POW RNS. ALL THERE IN BLACK & WHITE plus First Equity Broker Note of Jan 2023, latest available about RRR listing NBGC on the ASX with the info of minimum to list on the ASX. RRR 's RNS of yesterday stated: Discussions with 3rd party and hence why both POW & RRR had to wait till the ASX after Mon hols.DYOR. NIA.

Any not agreeing, take it to the RRR Nomad & POW Nomad etc.

SXG has no JORC yet, only exploration target and already mkt cap A$545m with Pierre Lassonde of legendary fame @Founder of Franco Nevada participating in the A$10m rights issue of SXG in recent days. Lots of other global investors 70% of whom are outside Australian, hence need to be dual listed. ASX BROKERS would disagree as they have all the GEO REPORTS.

Same principle here. What happens today etc is NOTHING to do with anyone. The market is like that until the VALUATION GAP closes 101. IT IS CALLED THE MISPRICING ASSET 101. Everyday, analysts from around the world get their pencils out to do exactly that. No one is concerned whether Joe Public is going to put £2 in and sell at £2.50. It is the big holders of RRR that matter as they voted and they agreed. In the end, all these co's will look for institutions. As a seasoned mining investor Zumore, you must be aware that ONCE RRR LISTS SUNDAY CREEK GOLD Ltd onto the AUSTRALIAN STOCK EXCHANGE, it must have its OWN CEO, CHAIRMAN etc ie a new board. SUNDAY CREEK GOLD ON THE ASX POTENTIALLY has nothing to do with RRR as you suggest of funding.

What Mr Wade said of Ballarat gold is of the Ballarat area and that was the plan then in Mar 2024 when the RRR-POW deal was struck. Mr Wade has not been following SUNDAY CREEK SXG and the latest as I mentioned. Why not? The deal was STRUCK in Mar 2024 and the RRAL presentation was to go for BERRINGA & AJAX NEARER TO BALLARAT.

That is no more but unfortunately, SUNDAY CREEK IS NOW IN VIEW WITH INTERNATIONAL INVESTORS IN SXG, MKT CAP A$545m and NOW NO MORE BERRING-AJAX NEAR BALLARAT. BIG DIFFERENCE. [1] The deal between POW & RRR was struck at £1.5m ie for POW to sell their 49.9% share to RRR of New Ballarat Gold Corp in Mar 2024. Yes, of course, in Pow's books, it is a profit given they extended little to RRR to apply for the fees to get the licences ie so many.

[2] Wade. In regard to Wade's remarks on BALLARAT , yes that is CORRECT. That is why another AIM co exploring in Victoria are also in that category.

[3] Look at the map provided by DL when asked by a poster on Twitter. That is the Geo map. BALLARAT IS NO WHERE NEAR OR NEXT TO RRR 100% KILMORE & KILMORE WEST. Why? It is 5 miles or 14 mins to SXG's SUNDAY CREEK, mkt cap A$545m.

YES, THE PRIZE FELL INTO RRR HANDS, NOW 100% AND TO BE RENAMED SUNDAY CREEK GOLD LTD for the ASX folks ie Aussies. Why would international investors not be now interested in RRR Sunday Creek Gold 100%? After all SXG 's mkt cap is A$545m vs RRR valuation £12-15m or A$20m+?

RRR yesterday bought POW out of their 49.9% share of NEW BALLARAT GOLD CORP [see co's house with POW listed]

for £1.5m and Pow's bankers gave RRR a value of 0.15p , 3 x the current price of RRR.

So, RRR now OWNS 100% OF New Ballarat Gold Corp and per yesterday's RNS out by both co's, RRR stated, they are in "DISCUSSIONS with a 3rd party re: LISTING". That will be the ASX, with a MINIMUM of A$20m for listing or £15m depending on exchange rates [Ref: First Equity Broker Note Jan 2023 last available].

YES, YOU ARE CORRECT ZUMORE re: Kilmore and Kilmore West, licence applied for in 2021 and 2023. Yes, POW extended some small $ to RRR as applying for so many licences cost a little bit of money. Most of the licences also lies near Ballarat of which in the past, Berringa - Ajax was the ones of interest. However, the Aussie mkt is not interested in Ballarat area as it is the Orca era 70m years ago VS SUNDAY CREEK/KILMORE/KILMORE WEST is DEVONIAN, a later period.

PIERRE LASSONDE in an interview said SUNDAY CREEK, SXG is "FOSTERVILLE LOOK-ALIKE" and he participated in the SXG recent rights issue of A$10m.

Let me explain something that is all over Twitter being discussed and was in the RRR RNS yesterday that RRR is in "DISCUSSIONS WITH A 3RD PARTY RE: LISTING OF NEW BALLARAT GOLD CORP" which is presumed to be the ASX as it is an Australian project in Victoria, Australia NEXT DOOR TO Southern Cross Gold [SXG] MKT CAP A$545 MILLION [£1=A$1.91].

In the past, BEFORE SUNDAY CREEK @SXG results and CEO of SXG stating that the GOLD @RISING SUN, HIGH GRADE DEPOSIT >>>>>>>>IS MOVING W E S T >>>>>>>>>RRR KILMORE & KILMORE WEST, then it is not as noticeable. West is RRR Kilmore & Kilmore West. Dr Nick Cook , Tech Advisor & Geo to SXG said so as well in his presentation I provided links to.

POW 's 49.9% share of Ballarat Gold Corp was SOLD to RRR for £1.5m [valuation done at RRR @0.15p, warrants 0.25p].

RRR 50.1% share of Ballarat Gold also assumed to be £1.5m per the deal yesterday.

Zumore you said it is not correct DRC international ar bitration that $430m was the sum sold on for RRR Musoni [50.1% JV] and I showed you via the RRR website link to Clear Capital Broker Note, it is stated there = FACT.
