On Wed, 12 June 2024, RRR met the deadline of the deal in which POW will see 49.9% of New Ballarat Gold Corp to RRR.

RRR had 50.1% so they are the operator. RRR also mentioned that they are now again in discussions with a 3rd party in relation to potentially list at another venue kinda of thing. Further , TECHNICAL work commissioned etc will also be released in due course. [Please check above this page for the detailed RNS verbatim]. RRR new name for the potential IPO is "SUNDAY CREEK GOLD.". One would guess the potential IPO is at the ASX given both PoW and RRR agreed to extend the deal AFTER THE ASX OPENED on Mon, after their holiday.

Per Paul Johnson, 1st PASS historical stated YES due to the DONNYBROOK gold mine @120g/t gold. RRR's Teck Geo Report, pg 1 showed the Sunday Creek trend DID EXTEND into Kilmore.

CONCLUSION: I read 1 comment from an Aussie in that they reckon that SXG'S MKT CAP OF OVER A$500M HAS NOW TAKEN IN the 2 deposits and there is NOTHING ELSE ie main 2 deposits. HOW CAN THERE BE LOOKING AT THE MAP AND WHAT THE CEO OF SXG IN RECENT TIMES SAID: SUNDAY CREEK TREND ========***MOVING WEST****===, SO YAH, HE CANT PRODUCE ANY FURTHER RISING SUN'S LoL. Also, that RRR had taken LEGAL ADVICE on potential litigation outside the DRC. I am today, looking slowly thru so many RRR broker notes to find that A$20m I recall reading. Acquisition accounting? New Ballarat Gold holds licences in the main. As such, PoW attributable 0.15p for RRR shares, 3x the current share price would have been supported by a external VALUATION REPORT. So, how does acquisition accounting come in? I quote: " Acquisition accounting is a set of formal rules describing how the assets, liabilities, non-controlling interest, goodwill of a PURCHASED co must be reported by the buyer ON ITS CONSOLIDATED STATEMENT of financial position." My point was only to state that it requires a valuation for the deal.

In short, you do not accept the First Equity Broker Report of 2023? Ah, that will have to be discussed for another time at a more suitable venue, perhaps with authorising body?

In terms of genuine shareholders of Red Rock Resources, there are very few here on this forum. From what I can see, there is only Maidit308, Helpful, Nike1980 and myself. As for robins & RichyRich1, they appear to be legacy holders?

The rest are non-holders but last night, the convo continued into the night but I was not here. This is due to a positive outcome of the closing of the above deal. I have read SP Angel's Morning View, 17 hrs ago in which they quoted Wade of POW who said that in consolidating NBGC into 1 hand will allow it to continue into further development kinda of thing.

On further thinking, I have decided that even with a retinue of group thinking, they still have NOT succeeded.

Posting to inform I will be watching given news is now on Twitter and if the group think they are correct, then why not post on Twitter given the audience is greater there? "Discussions" with a 3rd party per 12.6.24 RNS and awaited. DEAL HAD TO BE DELAYED to wait for ASX of Australia to open after Mon was a holiday, so everything had to wait for ASX.?

News, Thur, 13 June 2024. Ask Mr Bell on Twitter as he is available and not just read what the folks say since they are not shareholders per their own statement. Some just fly in, others are from PoW or wherever so for 3 years, they repeat.

It is now dusted and one looks forward to hearing about the listing on the ASX per what was stated in the RRR RNS of 12.6.24. Not sure , of course, what the "discussions" are at, but some idea must be known.

As for the posting from last night, it appears it so irked many that they couldnt sleep and posting went on into the night and 1st thing this morning ie early hrs of the morning.

Its carried on today and it would appear that others are not happy for RRR SHAREHOLDERS or RRR. Otherwise, there would be NO need for tons of posts that has taken all day to reply to. FACTS all there in the RRR-POW RNS of Mar 2024 and yesterday. Paul is no longer running Pow so that is now under Wade, the new CEO.

Suffice to say, on most forums, they have genuine shareholders and they want to discuss the co and the assets and where they are at. However, my posting count goes up just answering from declared non-shareholders of RRR who's objective is "disgruntled" per their own words? Disgruntled over what? Helpful said none were invested in RRR but from RGM. what has RGM got to do with RRR? LoL, best that A.Bell answers in time to come.? He is the Chairman, not any one of us.

If one wanted to insure things in one's house eg a painting by a well know painter or a watch, it has to be VALUED.

One has to obtain a VALUATION RECEIPT from a licenced firm able to do such valuation for insurance co's. If the article get taken , say, the valuation is already registered and filed with the insurers.

So, resident says RRR asked for 0.15p is again against M & A . Any Chartered Accountant from KPMG will know that. Like? All M & A has to be done by an independent investment bank and a valuation report issued for the co selling the asset. It will be needed especially so that it is fair value and NONE of the ...mentioned on this forum would then be repeated.

RRR RNS of Wed, 12.6.24 stated that they are in "discussions" with a 3rd party relating to listing on an exchange.

So, the deal was extended to wait for ASX to open after Mon hol. So, one may assume or presume it is an ASX kinda of thing.?

That said, it is now FACT that it comes from a RNS from RRR, 12.6.24 and that it may suggest from logic and reason, RRR has MET THE THRESHOLD for listing otherwise what DISCUSSIONS [plural] can take place? So, the theory of threshold for ASX is not the deciding criteria so LEGALLY SUBSTANTIVE and therefore any missed info is not correct. Balanced it out with link to FIRST EQUITY broker note is relevant although they prep for a London IPO and valuation was given. So, valuation of a London IPO is a guide to give an idea. That will have to be matched in days to come to see ASX, AIM or London as a matter of interest only.

However, why a RRR poster on this forum is now telling tis and that, I am not sure why?

====Southern Cross IPO in mid 2022 with a mkt cap of A$32m. It raised to drill and the last raise was for A$10m to drill 60,,000 metres at Sunday Creek, Victoria. Australia. So, the principle being, that despite the raises, the market cap is NOW A$545 MILLION region and some A$2.81 region [IPO 20 Australian cents].

As DL pointed out RRR Kilmore & Kilmore West is WEST OF SUNDAY CREEK and a lot of attention is on Sunday Creek.

Of course, now two appear ....? , one from PoW and the other I am not sure is invested where? PoW can LEGALLY REVOKE THE DEAL but that must come via a legal letter. Of course, theory, text book style would suggest that any co revoking an agreement they signed appears to be breach of contract? Yes. No?

So, best to call Wade in as 1 poster from Pow is not satisfied that Pow signed and the 2 co's ie RRR & POW were NOT YET AWARE of the progress and spec drilling results and that it was HEADING WEST to RRR Kilmore & Kilmore West. RRR just made it over the line on 12.6.24. That folks appears to be what happened.? Yes. No? Just a discussion.

---------The LEGAL position of the New Ballarat Gold Corp Deal of RRR & POW-------------

The legal AGREEMENT was signed in Mar 2024 and conditional it closes on 12 June 2024 after due diligence from

RRR. So, in law, BOTH RRR & POW had NO NEW INFO at the date of the signing.

However, RRR had to ask for an EXTENSION [legal] of 1 day due to the ASX public holiday on Mon. Now, in the RRR RNS of 12.6.24, one knows why the ASX was the reason for the extension. RRR RNS stated that "DISCUSSIONS " are with a 3rd party in relation to a LISTING kinda of thing. No details given so one can presume it is Aussie broker/s or THE ASX itself - no one is privy. So, to me, it would appear that RRR was keen to secure some form of idea or whatever from the ASX or Aussie broker [who the 3rd party is, is not mentioned] as to the POTENTIAL OF AN ASX LISTING and I am sure the VALUATION was also discussed etc along with other data needed for a prelim at least. It would inc a NEW GEO REPORT and the GEO MAP shown by DL comes from RRR's GEO staff in Oz, not from PoW. So, in the days precedent to the deal closing deadline of 12.6.24, RRR LEARNT OF THE SXG SUNDAY CREEK RELEASES just out around that time and the CEO's interview plus other data coming out that POINTED TO WEST OF SUNDAY CREEK kinda of thing. WEST OF SUNDAY CREEK IS RRR 100% KILMORE & KILMORE WEST.

However, 2 posters on this forum appear very sore about RRR's PROVIDENCE and say tis and that. Well, PoW didnt know in Mar 2024 at the time of the signing nor did RRR. So, what case to bring now and say Bell this and that which cannot b e repeated as it falls into a certain category? How? DYOR. NIA. Thur, 3.6.24.

Chairman Bell, RRR did not DO THE VALUATION OF 0.15p for RRR shares in Exchange for PoW's 49.9% of New Ballarat Gold deal. IT WAS FROM POW and POW'S INVESTMENT BANK VALUATION that is normally required. Pow's bankers must prepare a valuation to accompany any M & A deals. Neither RRR or POW are involved in the official valuation done by an independent bank that is licensed. JUST TO CORRECT WRONG PERCEPTIONS.
