The potential text book suggests it will have to be done at LEAST at a 45% or even 40% premium to the £12m M & A [100%].

So, RRR would stand to gain , say , in theory, text book style some £18m [12+6 if 50% premium and take it to 40-45% accordingly]. That is how deals work text book style of M & A. Have to wait what IS GOING TO TRANSPIRE tomorrow with the promised RNS from both RRR & POW.

RRR is following the style of Paul . How? For every DEAL, it is supported by PRICE DISCOVERY via M & A.

This means that the asset is VALUED as oppose to share price being nay sayed.

It then enters the PITCHBOOK to refer to if applicable.

SO, RRR AUSTRALIA will be a prize as it is worth £12m per the RRR-POW deal for 100% stake.

WHAT DOES RRR NEW BALLARAT GOLD CORP DO WITH THE 100% AT £12M WHICH IS 6 TIMES IT CURRENT MKT CAP?

Got to wait till tomorrow to see IF it has ALREADY GONE THRU and RNS'ed tomorrow? KNOWN ALREADY TODAY ISNT IT?

I will make it simple:

The RRR-POW deal grossed up to 100% is £12m or A$22m. To list in Oz, it must be a minimum of A$20m.

The Australian New Ballarat Gold Corp at £12m is 6 TIMES the RRR mkt cap currently today.

So, in RRR taking over POW's 49.9% and paying some £1.5m [see details], RRR would MAKE £4.5m from the deal implied. Yes. No? Simple isnt it.

Any further SPIN out, IPO, sale etc by RRR would HAVE TO TAKE IN THE £12M VALUATION DONE BY AN INVESTMENT BANK OF FAIR VALUE for the deal. Yes. No? WHY? ALL M & A IS PREDICATED UPON OFFICIAL INVESTMENT BANK'S VALUATION REPORT as norm. DYOR. NIA.

Kindly use some common sense with respect:

RRR 50.1%, POW 49.9% of Australia.

RRR-POW deal is at 0.15p HEADLINE which is 3X the share price currently. Also, 0.25p.

SO, HOW CAN POW SELL RRR SHARES AT CURRENT PRICE PREVAILING? Why? It would be acting against self?

RATIONALE OF THE DEAL, IF COMPLETED: M & A PRICE DISCOVERY.

So, any deal AFTER the deal closes will have to accept the INVESTMENT BANK VALUATION of "fair value" at 0.15p.

Simple, isnt it? All for discussion until tomorrow when the RNS will or may appear.

BIG BUYER

Meanwhile that just bought 6.69%. So, buyer just spent £138k AT 1 GO over 2 mins today BEFORE the RNS potentially tomorrow, whatever the outcome?

WHY HAD TO WAIT FOR ASX ?

The deal could NOT CLOSE as ASX was CLOSED ON MON for holiday. So, ASX opened last night and the only ANN was from SXG, the neighbour to RRR Australia re@Merger of SXG & Mawson of Canada, the parent co. A.Bell Chairman of RRR tweeted almost shortly after the Oz Ann came out at SXG and said "MORE NEWS FROM OR NEIGHBOUR SOUTHERN CROSS...STORY DEVELOPING." It was tweeted at 12:43am in this morning. I was up and saw the SXG ANN.

QUESTION:

So, was the deal of RRR-POW PREDICATED ON ASX OPENING to hear from ASX or was it to hear from an ASX co? Will find out soon ie tomorrow as promised via RNS from RRR & POW. Interesting times.

Without repeating the cals, the TOTAL DEAL is £12m or A$22m for the RRR-POW Australian deal.

It is 5 miles to Sunday Creek @Southern Cross Gold, Mkt Cap A$546m.

Yesterday, RRR has commissioned their Geo's to start soil sampling and to re-confirm etc the earlier Geo Report on KILMORE & KILMORE WEST. Sunday Creek mineralisation is MOVING WEST into ==RRR KILMORE-KILMORE WEST.

For SXG, it was NOT a discovery but from the May 2022 presentation, SXG said it was a "RE-DISCOVERY" given there were already mining /mines. So, too the same for KILMORE-KILMORE WEST , the 1st gold mining town and Sunday Creek, the 2nd mining town.

DONNYBROOK GOLDFIELDS is in West Kilmore and RRR has asked the Geo's to LOCATE this mine. I FOULD IT LAST NIGHT and there are HOLES there and the mine is well known.

QUESTION: THE RRR-POW DEAL CANNOT BE IGNORED be it sale, JV or IPO as it would have been supported by a investment bank's valuation @fair value. But it is STUNNYING that it is already worth £12m or A$22m before an OZ IPO, say where the minimum is for a A$20m mkt cap. THIS DEAL HAS EXCEEDED the minimum threshold. So, what happens next?

If the 6.69% BUYER TODAY [4 transactions within 2 mins] + the other two days of 10m & 10m would have to DECLARE and RRR TR1 to be issued. IF THE BUYER IS MR BLACK WHO ALREADY DECLARED 10.9%, that would put Mr Black into the near 20% holder depending on the other shares one may not have noticed. Tues, 11.6.24. TOMORROW, IS THE RRR-POW DEAL closing ie outcome.

The Australian deal is done at =====0.15p which is 3 TIMES THE CURRENT SHARE PRICE.

Stunning ! Why? BEFORE RRR CAN EVEN IPO IN AUSTRALIA FOR A$20m, already the DEALS IS A$22M ==BEFORE THE IPO POTENTIALLY, if that is the case, say.

Earlier , there were also BIG BUYS OF 10M over 2 days. SO WHO IS BUYING ON THE EVE OF THE DEAL. Naysayers differ but buyer not bothering? Tues, 11.6.24.

The large buys were all done within 2 MINS. Buyer spent more than £138k just like that today, Tues, 11.6.24.

HL is still giving 0.0475p to sell and 0.0515p to buy. So, the big buys are at premium.

MM'S

At 1.23pm, I have just TESTED and the MM's want to still TAKE AT 1 GO, the whole lot of sell above normal mkt size DESPITE a 9m+ sell at 0.0475p? Why? Only reason may be that there are BUYERS otherwise how does the MM ABSORB more at 0.0465p ? Will watch to see if there are buys after that sell?

As a Chartered A/c per your info , how can a share deal affect the share price when it valued RRR at 0.15p, 3x current price?

How does share payment =100% RRR Australia turn an ASSET into a liability in broad terms?

After the flurry of buys, the PRICE HAS CHANGED to 0.0475p TO SELL & 0.054p to Buy. So, the prices have gone up to buy and to sell. This may be after the sells have all gone ie contra matched against flurry of buys, hence share price for buy and sell gone up. Have to wait now to see IF the buys continue and the price changes accordingly as norm.

RRR-POW DEAL

The promised deal news on Australia is due for TOMORROW, Wed, 12 June 2024 from BOTH co's. Hmm, rather exciting but dont know what news given the deal was delayed BECAUSE OF NEEDING TO WAIT FOR ASX TO OPEN ON TUES, AFTER THE MON AUSSIE HOLS? But both RRR & POW are AIM LONDON LISTED, so how this has to do with the AUSSIE ASX, one may find out or not? Dont know. Have to wait till tomorrow or on ASX Oz tonight?

The pattern of the trades appears rather strange:

[1] This morning, it started like the NIGHT before of buy 0.06p & sell 0.0564 etc.

[2] At 8:29am, there was a SELL and the 10m seller was given 0.054p and then a sell of 5m received 0.05p. However, another 5m sale received 0.045p at 9:28am. THEN , from 10:01am, a WHOLE SEA OF ONLY BLUE BUYING inc 2 BUYS OF 3M & 3M+ . AT 11;51, THERE WAS A TRADE AT 0.05P FOR 5.6M AND FOLLOWED BY ANOTHER 3M, also at 0.05p. TOTAL: 14M + BUYS? Strange MM's would take everything at 1 go , ABOVE normal mkt size? So, all the sells absorbed?

I tested and the buy is around that price and the sell as well but I have not tested in the last few mins.

RRR-POW DEAL

Tonight, the ASX Australian Mkt opens around 12 MIDNIGHT approx but ANN/RNS do tend to come out a bit earlier before mkt opens sometimes. Tonight, in the UK, it will still be Tues, 11.6.24 before MIDNIGHT vs ASX will be Wed, 12.6.24.

So, IF AN ASX ANNOUNCEMENT comes out and IF that is what is waited for, then there may be another night of waiting? I am not sure but its just for discussion. Chairman A.Bell of RRR last night tweeted but that was on the Southern Cross ASX merger news. A.B tweeted: "MORE NEWS from or neighbour SOUTHERN CROSS....A DEVELOPING STORY."

Some AIM industry news:

[1] I was searching for some info on RRR Australia -POW deal and looked at SP Angel's Morning Note. They covered PoW 's disposal scheduled for tomorrow, Wed, 12 June 2024. So, it is confirmed by POW as well. I also read another of Colin Bird's co that is now PIVOTING to Zambia to do a small GOLD mining operation. SP Angel, 17 hrs ago said this was an AREA OF ARTISANAL mining. So, this now appears to be the PLAN by small AIM explorers to turn to small gold mining based on ARTISANAL areas & inc Ben Turney in Zimbabwe.

[2] This morning, another small AIM explorer has announced they are taking up a project in Australia for copper.

This is in addition to the previous JV also in Australia for copper. This co was mainly in a potential power project abroad in Asia. So, ALSO PIVOTING to Australia, a Tier 1 jurisdiction.

[3] RRR also seems to be heading where the above AIM junior explorers are pivoting.

[4] Since RRR said that it was waiting for the ASX to OPEN on Tues, 11 June 2024 and so did the POW, JV partner's RNS also state so for the DELAY, it may be that RRR needed to hear from the ASX Australia? The only co that had an ANN was Southern Cross Gold, on the ASX relating to their merger with Mawson so that it is easier to operate and clear the overhang. Easier to raise funds as well per the Ann? TOMORROW WILL BE THE PROMISED RNS both from RRR & POW so not sure if it has to do the ASX per the last RRR RNS?

Bell provided a screenshot of the Southern Cross Ann just out in Australia about dual listing in Canada & MERGER of MAWSON of Canada, the parent co & SOUTHERN CROSS Gold of Australia. Not sure how this affects RRR and the ASX RNS of Mon, 10.6.24? Only 6 views so far and a retweet.

One of DL's ASX co's has issued an Ann but it is not about RRR. The other DL ASX co has no new ANN put out.

So, mystery continues as to why RRR-POW had to wait until the AUSTRALIAN STOCK EXCHANGE OPENED TODAY after a holiday on Mon.? Have to wait to see.

One of DL's ASX co's just had a ANN [RNS] so it is not this one ASX DL co.
