RNS - Resolutions28 Feb 2025 17:54
Am I thick, Resolution 4 doesn't add up to me. $6.4m is not 43% of the total issued ordinary share capital. The current MCAP is around £20.8m which is $26.2m
"Power of directors to allot shares (Resolution 4)
Resolution 4 will be proposed to grant a new authority to the Directors to allot Ordinary Shares and grant options, warrants or other rights over Ordinary Shares up to an aggregate nominal amount of US$6,425,215.99. This amount represents approximately 43.3 per cent of the total issued Ordinary Share capital of the Company as at the date of this notice."
But the first part of this resolution seems to indicate that they have hardly any shares left to issue because:
"Pursuant to the Annual General Meeting of the Company held on 30 April 2024, the Directors currently have authority to allot such number of Ordinary Shares as may result in the Company having an issued share capital of 1,485,178,135 Ordinary Shares. As at the date of this notice, there are 1,483,883,601 Ordinary Shares in issue. "
