"Arc Minerals ("Arc") announces that it has received a formal notice from Anglo Exploration Zambia Ltd ("Anglo American") dated 6 January 2021 that, following due diligence, it is sufficiently satisfied to give notice to conduct negotiations in respect of a commercial transaction prior to the expiry of the extended exclusivity period of 180 days, commencing in January 2021."

Given comitment to conduct a commercial transaction prior to expiry of EA I cannot see any reason the EA will be extended.

180 days should be up sometime week commencing 12th of July.

Not long now untill hopefully, a good outcome for all.

Grossly undervalued on current proven Gold resources alone.

Genuine multi million Oz gold potential. Especially finding Bonanza grades like that.

Add in the battery metals too and BAM has real Tier 1 potential.

Am I right in thinking that the BOD would not require shareholder approval for the sale of our Zambian assets?

With the recent acquisition and Casa sale being pushed post EA no vote would be required under rule 15.

Obviously they would need approval for a full takeover but I can't think of any reason they would require shareholder approval for the sale of the Zambian assets.

Agree smallholding, if AA are still interested they should be told to put up or shut up before end of EA. If not they should join the que with the rest of interested parties.

Chameleon Man, I don't believe anything in the EA would prevent an extension. Certainly hope there is not an option for AA to extend. Would be a school boy error if there is.

I personally hope NVS is making it clear to AA that it will not be extended. AA have had long enough in exclusivity. It is clear they want some sort of deal. If no deal aggreable by end of EA I would surmize that the AA will be unlikely to offer a deal the BOD deem in the best intetest of us ARC shareholders.

Let AA stew on this

Offer a deal acceptable to ARC by mid July

Or

Join the other interested parties in considering a bid without the protection of exclusivity.

I think it is time for AA to PUOSU

Some investors will be spooked by the SP drop. Just ask your self 2 simple questions.

Do you think AA will offer some sort of deal?

Do you think the offer will be equivalent to more than todays MCAP / SP?

My answer 2 both is yes. So as far as I'm concerned it's an easy hold.

Ask yourself why Arc would want / need another asset. If they thought AA were walking away they would be focusing 100% on Zambia and pushing to prove up more mineralisation at Zamsort and Zaco. The fact they are purchasing another asset tells me that to the contrary they expect the AA deal to conclude.

Further I don't see a full takeover. I see an asset sale. AA purchase the assets but don't take on any liabilities. That would have left Arc with no assets and subject to aim rule 15.

The asset purchase I get. I do not really understand how the fund raise fits in to things. But sure its all being orchistrated by Rothchild and Co and all part of a bigger picture

Took some profits from elsewhere and managed to make the most of the drop and bought some more ARCM. 6.79p paid over a few tranches.

I concur Tom. Infact I believe that they needed another asset before selling off to Zamsort and Zaco to AA.

I reckon the purchase of another asset is to overcome complications of a full sale of Zamsort and Zaco in terms of rule 12 and 15 and the prospect of becoming a cash shell.

Hopefully results are the catalyst to move onwards and upwards

Drop the half a#@e insults and explain exactly what would be illegal with the hypothetical takeover strategy below.

Purchase 2.5% of a company before entering an EA.

During EA drip feed / sell this 2.5% into the market ensuring holding is below reporting threshold before triggering 2.7.

Truth is there is actually nothing illegal in this strategy. If executed properly this can work a treat to ensure that there there are no untoward SP movements during EA which in itself would trigger 2.7 before the purchaser is ready . Works particularly well with illiquid, off the radar small caps.

I don't know if AA are implementing such a strategy. However, given, as you say, AA and their advisors are not idiots I would be surprised it they hadn't atleast considered it.

Only an idiot would not consider or discount such a strategy.

Agree SP won't be a driver but we will have to agree to disagree with on the other points. The Guinness share price fraud was a very different scenario.

Lantjer it is not illegal unless they have inside information. In which case it only stops them acquiring shares not disposing.

If the SP was to move untowardly AA would have to announce a possible offer and invoke rule 2.7 and PUOSU

I would be very surprised if AA and its advisors are not monitoring Arcs SP very closely and are not making sure, within their power, that it does not move untowardly.

FWIW I am a happy long term holder and I will hold until the end. I also don't think think the SP will effect the final offer price. AA will pay what they feel is fair value. I believe that will be multiples of todays price. The holding back of the SP for whatever reason just gives me more time to build a bigger stake. I really hope I can get my own and my wifes new ISA allowance in here before they bid.

Trading seems very controlled considering what's going on with ARCM and AA. Pretty sure AA will have their own financial advisors working on the deal. Pretty sure one of thier main tasks will be to ensure SP dosent appreciate too much during negotiations.

Perfectly legal and dosent really make any difference to the outcome. AA will offer what they see as fair value. Whatever that may be.
