The RNS at 14.52 refers to a number of SAND call options at various prices issued by MMCAP. If anyone who understands these things can comment, it would be appreciated. Specifically, does this mean that MMCAP is bullish about SAND? Cordially Lionel

With the final MARL trade today at 102.63p (spread 98-100p), and current SAND having dropped to US$ 3.64 (gold price?), the merger offer corresponds to 102.26p, meaning that MARL has just closed at a premium to the offer price (0.4%) for the first time. Not sure what this means for the arbitragers... Cordially Lionel

@kev4: I am very much aligned with your own sentiments. This has been an absolutely dreadful share to hold, watching our investments just being haemorrhaged, with little or nothing to show for it. Three questions if anyone feels like commenting: (1) why is there not a demand to remove the boss man, Richard Conroy? He is the leader, he runs the show, he calls the shots, and we have very little to show for his leadership at least over the past 2.5 years since I've been in. (2) I was last following this in detail a year ago when there were 6m shares in issue. Now there are 11m in issue? What did I miss? Some type of dilution, which I could trace to the past RNS's I suppose, but an update would be appreciated! (3) do we think this bid is likely to succeed? I will be voting for the BIG spring clean, and can't immediately see why any LTH, private or institutional, might think otherwise. What have I missed? Cordially Lionel

@ludeck: I always admire your critical thinking and lucidity in explanation, so thank you for your thoughts. In my first post, I was not quite so naive not to have clocked that - if it is some signal - a random person might buy 1 share in an attempt to tip the market. In detail, however, I have no idea how the MMs work, and did not consider it beyond credibility (for example) that the buy has to be from a reputable MM (if such information is preserved at level2 or higher). I assumed this indeed to be folklore, but wanted to poll more experienced investors for their feedback. For which I am grateful, again, to you and others. A related question then: can you see a situation where somebody would actually purchase just 1 share, for any reason? I do not immediately see such a circumstances, but presumably they must exist. With dealing costs and spread, why would such an order ever be submitted at all? Cordially Lionel

SAND SP is recovering strongly, currently at US$3.95, up from its low of $3.20 after announcement of the planned merger. If there is no counter bid by next Monday, I will (probably) vote YES to the merger, then take the cash and hold the SAND shares. I then plan to hold the SAND shares until the PFS comes out later in the year (Q3-Q4). With the ongoing merger discussions overshadowing all else, there has been little recent mention of the forthcoming PFS. This had been a major focus of our investment considerations over the past few months. I believe we still have every reason to believe that the PFS will be (extremely) positive. Post merger, interest in SAND may well continue to pick up as the PFS comes closer. Perhaps (?) there will also be further good news from the drilling in the Russian zone. Perhaps SAND did get Hot Maden at a big discount: if so, this should still be reflected in SAND's future SP performance. So, present plan, I'm holding. Cordially Lionel

The proposed merger is a very poor reward for this deposit, so I have long been tempted to vote NO. However, no rival bid has emerged, and I fear that a NO would leave MARL with no other purchaser, and no obvious prospects of raising the capital for embarking on the mining. In any case, uncertainty would be high, and any potential gains pushed further into the future. If the merger goes ahead, there are good prospects of the SAND price moving forward. So while somewhat annoyed if not angry, and hugely disappointed, I am now considering voting YES. Decision time coming up. How do other LTH see it? Cordially Lionel

Yup, still here. No idea what is behind the rise. Still not sure how to vote. Ludeck: what is your current thinking on voting, may I ask? Also, can anyone clarify why the arbs consider this such a good play? Yes, it is a cheap way into SAND shares. But if there is a prompt sell off after merger, gains could be easily wiped? So thinking must be that a rise in SAND will follow? Cordially Lionel

Agreed. I would not invest with GP or ER again. As PIs, we have been treated very badly. So, its you, how do we encourage an investigation into this issue that you refer to? I have sold some of my holding, but still retain the majority to see how this SAND merger plays out. But not at all a happy bunny. Cordially Lionel
