rick43. Yes, you're correct regarding the 25% of shares - it applies to Playtech shares not Plus500. Looking at the numbers, if you take out Playtech's ineligible 9.36% holding in Plus500, that reduces the total voting entitlement to 90.64%. This would result in a 'simple majority' requirement of 45.321%. With Odey & JPM's aggregate holdings of just under 34% between them, it will only require a further 11.325% to defeat the proposal - it could still be a close finish! Finally, disappointed there is no mention of an exit dividend to shareholders based on the half-year results to 30 June 2015.

Shareholders with 25% or more are also excluded (presumably that means Odey too). So by taking out Bricklington, Playtech and Odey, that only leaves c.32 per cent of shareholders entitled to vote. If a simple majority is only 16.01 per cent of the remaining shareholders and JPM holds 9% then perhaps the deal is not so cut and dried - YET!!

Page 20 of the Information Document states that under Israeli law, the takeover requires a 'simple majority', but appears to EXCLUDE the votes of shares owned by Brickington (representing the Plus500 founder members) AND shares owned by Playtech - do you agree?

As Plus500 is registered overseas, I believe it is not regulated under the London Stock Exchange Takeover Panel rules. Does anyone know what are the rights of dissenting shareholders, if Playtech gains the acceptance of only a simple 50 per cent majority from Plus500 shareholders? After the takeover, can we continue to remain minority shareholders in Plus500 by refusing the current cash offer?

The share offer (if voted for) will not complete until mid-September 2015. Disappointingly, the offer does not appear to ADD ON an interim dividend for the 6 months profits earned in the 6 months to 30 June 2015. Under normal circumstances (based on 2014 results) the interim dividend could have been as much as 20 pence per share. Therefore we can assume that Playtech only values plus500 at 380 pence per share, because it will save cash of 20 pence per share by NOT having pay out any dividends this year? If this is so. then the plus500 founder shareholders have treated the PIs fairly dismissively (IMO) and frankly should be ashamed of themselves for lining their own pockets first, IMO.

Sorry raulc - couldn't disagree with you more. An Israeli-based company making a very 'cosy' takeover of another Israeli company. Sounds like it's at an undervalue to me! Playtech taking full advantage of market price manipulation. which takes no account of the underlying value and future potential of the business. Odey and JPM have a right to raise their eyebrows on this deal. in its current state.
