Best case is to get this 1.5m done - possibly nearly done as the vol is about there [they started at near 2p] - and RNS there will be no more CLs from Berchevaver.

Forget fair value atm when you have a printing press in a semi in Finchley. Proper CLs are available - see MYSQ. - they are never great but that has a fixed amount of warrants unlike our dubious friends.

I have said I like the business but you haven’t really replied to the deal points I made. You can always get liquidity at the right price. That’s the short term cloud here. The warrant clause is a potential killer made with a recently dormant company. Why not use the usual channels?

You miss the diff between Darwin and our new friend. Darwin have a fixed and modest amount of warrants and don’t care about the SP - high or low; they want a fixed amount of cash back. This warrants clause means a lower SP is advantageous cause the lower it goes, more shares and hence more warrants, and even worse cheaper; so they will be in the money even quicker. So they then get forward sold. It’s dilution on steroids . If that’s DD, I’m worried

The co prospects are great - the way its financed is not - remember the new CL holder is not putting up the money - peeps on this bb are - its just a bridging loan they have supplied . His interests are totally opposite to shareholders - and he has more power. The problem is the co expects holders to finance the co but there is no info on the imminency of contracts and your not sure of the total number of shares coming - so you can;t work out the mcap to see whether its over or undervalued. Hope is fine but its not very technical to base a decision on.

Having dissected the terms, the restrictions are very disingenous. Forget the 20% daily vol clause - doesn't actually make sense cause if the forward sold 50m and then volume dried up, they couldn't issue a notice and they couldn't deliver the stock - so thats a red herring clause. 5% of the nominal is the killer. - note is assumes full conversion - its sneaked in in brackets] Nominal is E0.0001 so 5% of the �1.5m at E0.0001 is 750m shares. That is allowed in one day. So there is absolutely no restriction. - please correct me if this is wrong but thats how I read nominal. The CLN holder doesn't normally care about the share price as he just sells enough to get his �1.5m - so if its 2p he sells half the amount than if 1p But you have the warrants - another killer and thats what the holder is after - and he gets them at 125% of the conversion price - 1 for 2. . So he now has a vested interest in getting the price as low as poss. - to get more warrants and to get them at a low price. Darwin are better, they have a small fixed amount of warrants so they have no incentive Re SP. Add the upfront interest and the 5% comm, this really is a poor poor deal. Its almost as if the holder is a big friend of someone cause whoever resorted to this has bad skills. Family co sums it up! No news and its dire

That’s why they always forward sell fast - 2 days is usually max . Cause if news lands , they can be out of money and you’d sure as hell see a notice . They have decided what to convert and that phase is over, any drop tomorrow will be pi selling not “ the investor” I don’t like CLs as only the bod know what’s going on. PI’s are in the dark . But they are not all the same . The question is why would somone want to invest in the parent with this?

It’s all within the constraints of para 2 of details section . And if you agree forward selling then conversion was at 1.65p plus 25pc . That’s where the warrants and com offsets plus Monday’s sales higher conversion.
