One things for certain ITT if Esyasoft back off Cronin the Clown and the Accountant who cannot add up need to go. In my view they've been found lacking.......had a good run though.

So what's to stop CC just carrying on and paying the interest and using the loan? If CC really do think the futures bright and will make all the money Cronin's been spouting on about just continue as is,use the loan ,pay the interest and pay it back when the cash rolls in. Without any shares ES are fecked. What's to stop someone else putting some cash in or indeed buying the company?

Something definitely stinks here for me and questions need answering by Cronin. At no point has he as CEO suggested any risks coming down the line,in fact he has blasted exactly the opposite.

I would love to see the full loan agreement. From the RNS it states:

"an early repayment means: CyanConnode pays back the full principal amount plus any accrued 7% interest."

My understanding therefore is CC. can pay it back but are liable for the interest over the period of the loan. Should another bidder raise their heads I would therefore think they could inject capital and either pay off the loan liabilities or consequently keep the loan and just continue paying the interest until loan maturity. Am I missing something? ...... probably lol.

The more you post and the times you post only serves to convince me you have some connection to the company ,however vague or remote LTI. Of course only my gut instinct but you continue to support my suspicions.

History has told us that JC seems unable to find his ar5e with both hands, even when it appears he has had his pants pulled down by ES. The possibility of him having any worthwhile KPIs or SLAs written into the contract is ,I would imagine therefore unlikely.

There is a reality here Tony.

JC has continually promoted the company as a successful,growing ,and a company with very good potential of a financially positive future. You only need to read the RNS releases. He now has to justify for me why suddenly the company is worth a pitrance. If things are as bad as he is now trying to convince people it is,both he and HP should have been competent enough to forsee this. There is no way either will be able to hide behind the "sorry guv we didn't realise and we made a mistake" argument.

Assuming HP is a Chartered Accountant one would have thought she has the nous to add up figures. To be as far out as they were beggars belief. Surely her and JC must put the figures through a peer review to sense check before release. At the end of the day people buy and sell shares based on the accuracy of the information available and would expect it to be accurate and free of any errors at least I do. I guess the next week or so will reveal all.

Ref your 1223 pist. I wholly agree and was about to send a further email to the company reminding them of exactly that having not received the courtesy of a response about a month ago. Should the same happen I will again contact the relevant authorities to once again raise my concerns.

1) The loan can be redeemed "between 36 and 60 months" (therefore not before 36 months), my understanding on that basis is the loan should play no part in negotiations.

2) The loan can be converted to equity "at the election of the Lender but subject to mutual agreement with the Company regarding the conversion price and the entity or entities into which it may convert. " On that basis Cyan have to agree to the terms or it doesn't happen.

Clearly without the full loan agreement we cannot be sure.

I'm just waiting for the Sage of Solihull to try and take credit when/if the deal falls through. Something like......"They thought they could have me over guv but I had their number. If those sharks come to me again and say we want to buy the company I'd say ...Oi moneybags NO!
