Result of Annual General Meeting

Citius Resources plc is pleased to announce that at the Company's Annual General Meeting held earlier today, all resolutions proposed, including the special resolutions, were duly passed. Accordingly, the proposals set out in the Prospectus dated 26 February 2025 are now expected to complete, conditional on Admission, at 8.00 a.m. on 21 March 2025.

Change of Name

The Company's change of name to "Harena Resources Plc" will take place once Companies House has issued a new certificate of incorporation reflecting the change of name. The change of name is expected to become effective imminently and the Company will make a further announcement following the completion of the change of name. The Company's TIDM will change to HREE immediately.

The Company's website will remain www.citiusresources.co.uk until the change of name has taken effect.

Application for Admission and Total Voting Rights

Following Admission, the Company will have 413,884,352 Ordinary Shares in issue. In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged issued ordinary share capital will comprise 413,884,352 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.

So the UK autodoor servicing market is estimated at twice the size of Safetell's traditional markets; and can also provide higher margins and more recurring revenues.

What could this translate into?

Well, Safetell reported over £15M. of turnover in its year ending 30.4.15; a year in which NWT made pre-tax profit of £2.252M. on turnover of £22.85M.

So pro rata, this could potentially translate into annual autodoors revenue to Safetell of £10s of millions, potentially yielding annual autodoors profit of a few £M.

Safetell's size, and the fact that it is 'system agnostic', should mean that it is far better equipped to handle national servicing contracts than the smaller players in this fragmented industry.

And with other providers having a poor reputation, Safetell could well be meeting a compelling gap in the market.

Indeed there's no reason why it can't become a 'go-to' provider for such national servicing contracts, if indeed it isn't already.

... I guess it’s human nature to put a big price tags on ideas. After all, we are often exposed to commentary on ideas but rarely on the execution of them.

Rarely do you hear someone attribute the astronimical value of an app to the trials and tribulations of the development team. You never hear someone give Uber’s lawyers credit for their $58 billion valuation, even though they were instrumental in Uber’s success.

The idea is always the star.

Maybe it helps keep the dream alive for ordinary folk. “Just come up with the right idea and you’ll be set for life!”

The long hours and hard work successful founders put into executing their ideas aren’t nearly as glamerous as the ideas themselves. We’ve been conditioned to naturaly equate the value of an app with the originality, novetly and practicality of it’s concept and not the effort that went into making it.

Newmark Security PLC (AIM:NWT) has provided a trading update, confirming that business is picking up in the second half of its financial year and that revenue for 2025 is on track to surpass last year’s figures.

The company, which specialises in electronic and physical security systems, has seen strong growth in its Human Capital Management (HCM) division, particularly in North America. Demand is improving globally, and management is optimistic about the sales pipeline heading into 2026.

A major milestone for HCM is its growing partnership with Oracle. Newmark has now completed and fully tested the integration of its clock and cloud-based software with Oracle’s systems.

As a result, it has been awarded official Oracle integrator status. It’s not stopping there - Newmark has also started integrating with Workday and SAP, two other giants in enterprise software. The company has already secured official partner status with Workday and is making rapid progress with SAP.

To capitalise on these partnerships, Newmark has expanded its sales team to tap into the lucrative Direct-to-Enterprise (D2E) market. The plan is to secure its first customers under this model in 2026, potentially unlocking a major new revenue stream.

With recurring revenue from its GT Connect platform also growing, management expects HCM to become an even bigger driver of the group’s overall performance.

The company remains confident about the future, with momentum building across both North American and international markets."

"Newmark Security plc (AIM: NWT), a leading provider of electronic and physical security systems, provides an update on its commercial developments and trading for the year ending 30 April 2025 ("FY 2025").

As previously anticipated, the Company is experiencing a higher rate of revenue in the second half of FY 2025 and remains on track to generate higher revenues than last year. In recent years, Human Capital Management ("HCM") has evolved to be the main driver of Group revenue. Newmark's management expects this to become even more prominent with the commercial opportunities developing and the growth in recurring revenue through its GT Connect platform. HCM's sales activity in North America continues to be exciting, whilst the rest of the world has improved since its slow start to the current financial year. The Company is pleased to confirm that the sales pipeline for the financial year ending 30 April 2026 ("FY 2026") is building across both territories.

In the half year results announcement, the Company updated shareholders that HCM's partnership with Oracle to target the Direct-to-Enterprise ("D2E") market was progressing well, with the completion of the Clock and Cloud based Oracle software integration for the beta test phase. The Company confirms that the software integration has now been fully tested and approved, with HCM gaining official Oracle integrator status. The Company is also pleased to announce that it has commenced software integration with Workday and SAP and is accelerating its plans with all three of these partners. In the closing quarter of FY 2025, HCM has gained official Workday partner status and is progressing well with SAP.

Further investment has been made in the sales team to unlock D2E commercial opportunities, with the expectation of securing the first D2E customers in FY 2026.

Thalassa Holdings (THAL) on Friday (14th. March) apparently acquired Sarah Reid's remaining 823,249 shares (8.78%) stake in NWT.

This has not yet been RNSed by NWT, but should be tomorrow - Monday 17th. March.

And this change is huge, positive news for NWT.

THAL are now NWT's largest shareholder, with over 21%; and an 'individual' shareholder has been replaced by an increased institutional shareholder, making the shareholder register seem more 'dynamic'.

And THAL have plenty of funds and incentive to progressively add to their holdings even more, before the 30% threshold limit.

This should set a firm floor under the NWT share price, and if THAL do choose to buy even more, their buying pressure could move the NWT s.p. up sharply (currently still 69.5p, unchanged on the day on Friday).
