Don't forget that with 2 million shares that will be issued on 1st March to Colva and the 9.167 million warrants outstanding at 1.4p average there will be a 5.7% dilution probably in Q1 2020.

Sahney has 6.8million shares and last years salary was £120k. Swick has 1.5million shares and his salary was £96k. p25 of the Annual report states that 'on target performance' will trigger 50% bonus and 100% Long term bonus (probably a share scheme), maximum performance will trigger 100% bonus and 100% LTB. As the only performance figures I've heard are £100m AUM in 2020 and £250m AUM in 2021. If these are their performance targets then max. performance should be easy to achieve. Note that on p.26 max. bonuses could be +400% (bonuses and LTB combined) so they could pay themselves £600k and £500k (in cash and shares) respectively. If they achieve those AUM figures ALGW's sp could be what? Conservatively 10p by end 2020 and 15p by end 2021. Would anyone here be disappointed with that?

The Company also announces that Mr Andrew Dennan has resigned as Non-executive Director of the Company, with immediate effect, after holding his position for four years to pursue and devote more time to his other business interests in the natural resources sector. He will continue his involvement with the Company as a retained advisor to the Board.

SecretBlueprint. At least the Guys running the show at ALGW would seem to know what they are doing and can do a decent job of self promotion. I see you are likely invested in DEV. I'm 90% down there, thankfully only a small amount but I don't think I'll get that back any time soon :(

Oops, my bad, I looked for LLP instead of LLC. You can add me to the lengthening queue of people in here who are wanting a lot of clarification from ALGW :) At the end of the day the sp is, of course, not a 100% accurate representation of the actual financial state of a company but a price at which the hopes/greed of some investors in the future of a company is balanced by the fears of other investors.

SecretBlueprint. It's obvious that ALGW need to be very much more careful with their wording. However it doesn't make sense that BOAGF is 'the General Partner' as BOAGF (Black Oak Alpha Growth FUND) is 'The Fund' itself. As I understand it life policies that would otherwise lapse will be bought using the 'facility' bySLIM?/others, Mr Swick (and others?) will be selling bundled policies held in BOAGF to Institutional and Very High Worth individuals at a price that covers the acquisition cost plus the expected premiums payable over the next however many years calculated by the actuaries. Most of the cash received for the future premiums would presumably be available to BOAGF to buy more policies reducing the amount of the facility that needs to be physically borrowed and paid for at any one time or, if the acquisitions are going really well increasing the total funds available to buy more life policies.

SecretBlueprint. As I understand it the "Limited Partnership" is BOAGF which is jointly owned by ALM (which is, in turn, 100% owned by ALGW) and SLIM.

SecretBlueprint. From the prospectus p.27: "ALM is a General Partner of the Limited Partnership, as is SLIM. The management fee of 1.5 percent. per annum and an annual performance fee calculated as 20 per cent. of all returns in excess of the hurdle rate of 7 per cent.. Both the management and performance fees will be received each by the General Partners" My reading of this is that each of the General Partners receive 1.5% plus performance fee.

I'm in this for the long term. IMO 10p, possibly by the end of 2020, is too soon to sell but individual circumstances obviously differ and there is nothing wrong with derisking. The real money for ALGW will come when AUM is £1billion (which IMO can be reasonably expected within 5 years, I think I read that Mr Sahney expects £100m by the end of 202 and £250m by the end of 2021) and the returns for the Black Oak fund reach 15% (also, IMO, probably not before 5 years have passed as we can't expect the people whose life insurance policies have been bought to start dropping like flies immediately). At this point (£1 billion AUM and 15% return) then ALGW's income will be circa £30million p.a. I would hope that commissions on acquiring AUM, facility charges and general overheads would be less than £10million giving a pre-tax profit of £20million. With a conservative P/E of 5 this would give a share price (based on 200 million shares made up of today's 192.7million plus a guess at outstanding warrants and options) of 50p. NICE :)
