I don't disagree Mal but what would be the problem (if the Lydia deal is true)of Marl making the deal directly ?

@Ludek,had GP been more proactive on behalf of the shareholders (the people who have paid his wages for years) he would soon have been able to achieve IMO a minimum sp of £2 which would have far outweighed the "thirty pieces of silver" he is receiving

@Lionel,the monetary gain they eventually achieve will be (imo) far outweighed by their massive losses- namely-integrity and self-respect.

Lionel,the Spin Co. is an asset stripping (Incentive lead) Sell Co that will have absolutely no direct benefit to Marl holders but may possibly keep NSRs for Sandstorm (or not).We are being encouraged to agree to sell HM for a fraction of it's worth and give the rest away as a "goodwill gesture" YOU COULDN'T BLOODY WRITE IT !

Looking at your post Lionel,two things hit me !.The warrants and options they awarded themselves previously, together with the future rewards you have highlighted probably together with hefty wage deals would normally be the return for directors that had the backing of the shareholders who thought they had done a good job. 2.The future options they are now offered are evidence of the Parsonstorm asset stripping nature of this deal,and once again no mention of Ergama. This really stinks !

No doubt there are more threats to come,(inferred and direct),as there have been already (GP and JM) referring to "the geo political risk"that we face at the moment,and if we would only sanction their self promoting deal it would all magically vanish.Just who the hell do they think they are preaching to and trying to influence.We (us lot )are UK AIM investors.If we didn't want to take large risks,we wouldn't be here in the first bloody place!!!!!!!!!

75% for the merger and if not then they reserve the right to organize a 50%+1vote takeover,Whether that would have to be cash is another question.But I really feel they will withdraw if the merger is unsuccessful And probably have achieved their objective by then,whatever it really is.

and following my last thoughts,if both sets of shareholders are asked to vote.Will it be a parity vote (1 per share) or given a ratio in someway to reflect the larger value of Sandstorm sp/mcap.I hope it is just a Marl vote !

if the deal has to be voted on by the shareholders of both companies then it is pretty clear why they would structure it that way,because it is such a ridiculously good deal for Sandstorm If 100% of sandstorm voted for it (why wouldn't they ?) then it would take over 50% of Marl to vote against,to keep the acceptance leve under 75% average.Shame on you GP

"Potatoes/potaatoes"-even given the geopolitical risk the "offer" is significantly undervaluing Hm let alone the rest of the portfolio chucked in for nothing a fact that seems to be completely forgotten by pundits and marl board alike .The bottom line is that it now seems Sandstorm shareholders know it's a bargain,we know it is,and it would still be a bargain @£2.

Parsonstorm can't lose,if by a slim chance (at this price or slightly more )they were successful they could sell the assets for much more than they paid for them,possibly with buyers already lined up or if they fail they have driven up the sp (and their %) either way they get away from the shares and back to what they do -NSRs (probably picking up a few% NSRs in the meantime)

having vented my spleen until there is none left,I have come to the conclusion that the Parsonstorm offer is not serious,as it has little chance of success due to the %s involved and it's ridiculously low nature.All possibly designed to encourage others on the sidelines to compete.The only problem is that it is far too transparent and I don't believe the market will take it seriously and could even (when defeated ) send the sp right back down again.A serious attempt by Parsonstorm or just them trying to be a bit too clever ? Dangerous !

opinions and observations together with comments and personal feelings will not be at all Libelous,and I think before the Mariana board began their current course of action they should have taken a look around the world and observed the current voting trends of the public .And at least considered the possibility that "you lot-us lot" might not be overly happy being presented with a bargain basement offer for what even they have described as a "once in a lifetime discovery"
