Majors prob won't stump up the asking price ATM, and NvS won't sell on the cheap, so a JV initially is most probably . As you say likely on an earn in and an asset sale thereafter.

I don't want it to end up a bacanora and ganfeng situation though where they take a slice at co level and it finishes up with them snapping up the asset for a song. Albeit we have numerous license areas.

Ronnie don't disagree and I'd like an asset sale myself, it's just I suspect that NvS what's greater value than a major may be willing to pay until more proven up.
That's my reason for thinking maybe a JV is more agreeable at this time but obviously it's not out of a question for a sale.
Yes they did reorganise the licences ahead of a potential commercial transaction so it's also possible a deal has been struck subject to resolution of these cases etc.

Happy no real way to figure out the placing shares left no.
You can make assumptions on the churn e g. what size trades are likely to be placement related
for example any round trades above 50k may be an assumption here. Then you can look at the trade data since the placing and try to determine total placing shares - x sold equals however many placing shares left.

I'd be tempted to do that and have when assessing when to enter a position but once Im in its of little value. Plus as you can imagine it's not an exact science.

You can also look out for TR1s to help inform the view of rate of sales and shares left.

Ella, I'm not speculating on the value or nature of a deal, nor the parties involved.
I believe we've been offered money from AA for an asset previously but it's too low.
I think it's unlikely we'll be offered hundreds of millions for an asset at this stage, and so I suspect a JV is more likely to prove the assets up ahead of a sale. Happy to be wrong.

I don't know much about the AFP deal tbh ( or care). It looked like an agreement to pay $500k in exploration costs and a few other bits for about half the share capital of the company. So yeah if we get a worse deal than that I'll walk.

Sadly you seem to lack reason and your views 'appear' clouded by bias and emotion.
You dismiss everyone's efforts to explains different view, and ignore any statements from the company others share that don't support your views.

Other than trying to be proven right, so you can try to stick it to the posters on here who have rubbed you up the wrong way, what do you expect to gain or what value is added to you by contributing the way you do here? Just my observation and I think as you've lost this objectivity you'll always have a smart answer / inability to be open minded. No I doubt the CASA monies will appear next week Ella, as it was extended only a few days ago...but only by a couple weeks.

Personally while it's not guaranteed they've done a lot of work for it to now fail. Also the recent Rackla RNS suggests they are close, as does the very short extension period we have agreed.

Rackla recent announcement stated as follows

I suppose the opposite case/opinion to your speculation could be true and that the counter argument to your views would be....

The RNS was issued late as the agreement and RNS wasn't ready until then. They have pushed it through as they have an advanced deal to close.

The link to CASA and warrants being out of money seems unlikely as
a) we've been under 3p for some time until lately.
b) The company have said..

“Our financial position remains strong with cash resources of US$3m and an expected Casa Mining settlement of US$1.5m”

So while I (or you) have no cash crystal ball regarding potential placings my view based on the above (even if a placing were to happen) is that any link between this RNS and CASA are not linked.

Regarding a future deal it sounds like you're not too happy with the AFP / FQM Colin B managed to get?. Based on what I've seen I can understand why.

I see your outlook has improved from no deal with
a major to thinking one can happen.
The counter argument against a similar or worse deal for ARCM shareholders is that NvS IMO wouldn't have swallowed his pride in arbitration if
a) a deal wasn't already well advanced (which we've also been advised is the case)
b) this advanced deal wasn't pretty good for existing shareholders (unlike the AFP ddeal with Colin B) as per the following official extracts from the company announcements....

1)....
...'Arc is also pleased to confirm that it is in discussions with two major mining companies regarding potential commercial transactions. One of these discussions is at an advanced stage……'

2)....

I was in POW a while back and did ok it's got enough projects going huh. PJ is a firecracker not sure he sleeps?
I moved my cash elsewhere from POW but it's moved to a more interesting value level again recently.

Firstly I don't see how this resolution of all legal cases has any relevance to CASA at all. Do you?
There are no guarantees, but the recent extension was very short so I think we'll find out soon and I'd have expected it to have been extended longer if they were a mile away from raising the cash. Once/if concluded I'm expecting $1.5 million to start with as per RNS.

If you recall AA completed DD and said they were happy to move into discussing a commercial transaction.
Then in a conference call NvS notified shareholders we had received an offer but that we had gone back to them with our further requirements.

Then on 09/07/21 we had an RNS to notify the end of AA exclusivity period within which NvS says

'As we have always said, any transaction has to sufficiently compensate Arc shareholders for allowing a major to take over an asset which we believe has significant potential to become a major tier-one copper discovery. We will continue our discussions with Anglo American which have been going well but will also commence discussions with other major mining companies that have approached us. '

So it's not all entirely in one RNS but is communicated across various shareholder engagement methods.
I'm not sure either if AA will be the major any eventual deal is with. The story with them to date suggests they may not pay what we want. Anyway there are several majors in the frame now, with which a competitive JV or sale can happen.
Also we do have cash and 'hopefully' the casa sale monies (subject to closing).
So we've plenty of reasons to justify why a placing to raise capital shouldn't be required immediately.

If we do need it then we need it, simple as that. It would be naive to entirely rule the possibility / risk of a capital raise ; but the above points are why I am optimistic, or perhaps hopeful is more appropriate.

Im not sticking my neck out on what the shareprice does on Monday, as I think this RNS will have polarized opinions.

I can see the market moving either way tbh.

I personally believe that irrespective of the markets initial reaction (good or bad) the settlement will lead to greater shareprice appreciation.

Ella, I did consider that this may mean a placing to raise cash. However I then considered that all depends on any deal either a sale or JV.
As for AA not being interested I disagree. Theyve already offered on an asset and it was declined as per the quotes from the RNS I provided when we discussed this recently.

Settling this in any form is not the preferred outcome given a choice. Clearly.
It's not a win, but of course it's good news. It's not about spin.

Cash flow from the small scale mining operation may not be critical with a deal with a major on a JV or outright sale of an asset(s).

It's a tactical agreement to enable the execution of a strategic outcome (to be announced in due course). NvS knows the full picture and he wouldn't have swallowed his pride settling if it wasn't for the greater good.

This clears the path IMO.
You're of course welcome and entitled to have and share a different view.

..... 'so could be options over any number of Shares' .... No this is not how I have understood it. They will award share options to the valuation of $200k, valuing the price of each share using the Black-Scholes valuation model (BSM).

So the BSM calc will determine the share price. So the offer is ($200k / the BSM share price) which will determine the total shares being awarded from the options.

I stole this from google as its the easier than me fumbling what BSM is but ....'The BSM model is used to determine the fair prices of stock options based on six variables: volatility, type, underlying stock price, strike price, time, and risk-free rate'

Not good news Carling? I am not sure how you can really believe that TBH.

I mean clearly no one wanted these cases to start with but having had to accept them then this confirmation of a resolution of all legal cases is great news.
While admittedly if our case was solid enough to eventually win outright via the courts, a settlement through arbitration would not ordinarily have been my first choice (and probably not anyones).

However MM/BC would have dragged this out using all the tools/tactics possible and we've been stuck in the mud for way too long over these legal issues.
NvS had to swallow his pride on this one and would not have done so lightly IMO. His motivation in offering this settlement is that we have several interested majors around us right now.

As many of us have said these majors wont finalise a deal with unresolved legal disputes and in reality with a seasonal drill window its possible that, left unresolved, these cases would has stopped exploration / drilling activity this year too. Especially with both the Zaco large scale licences up for renewal in August this year we dont need to be in a legal dispute on anything right now.

I'm confident that NvS has the macro view of the situation and this resolution will enable the discussions with majors to proceed at pace concurrently to the formal ratification of the settlement.
I believe a deal will be concluded fairly swiftly (once the settlement is finalised) of either a sale or a JV where the major funds the exploration activities on one or more of the license areas.

Looking at the mining cadastre I can see;
Large-Scale Exploration License 19906-HQ-LEL is Handa
Large-Scale Exploration License 23004-HQ-LEL is Zaco
Large-Scale Exploration License 23005-HQ-LEL is Zaco

I used to have a breakdown of which of the assets fell into the license areas but Ive misplaced my notes.
I assume Zamsort is just the pilot plant is it? Im not 100% sure.

Ella well now a deal can conclude and you can't continue with the narrative that court cases will drag on and on. I did say that view was overlooking the fact they are in arbitration and a resolution won't necessarily take long.

What ARCM have agreed on obv won't impact the assets involved in any deal with a major and at least we can crack on now into either a part asset sale or JV.

Glad that's all out the way albeit does suxk to have to give anything. Must be for the greater good.
