No, I am not pleased with this fundraise over the innovative collaborative non-diluting deal I was hoping for. It’s a shame that wasn’t the outcome.

I asked because you told us you’d all but sold out, which would make it hard to buy much in the open offer.

Maybe in the meantime you had enough faith in the company’s prospects to buy back in?

I assume you won’t be participating then in the open offer Doc83?

I feel they would delist if we reached IA and BP didn't step forward for DEAL. Delisting then would make sense to me.

But again, they could delist whenever they want as long as they hold +75%, so who knows?!

TBH, I think it's really difficult to say. We don't know their motivations. I would wonder though why they went to the bother of this fundraise if that was their ultimate goal?

From the RNS, If the non-underwritten fundraising threshold ( (£2.9m) is not met then the company intends to delist and TFG will have enough shares to do so (they need +75% to do so).

If they threshold is met, then TFG can still delist, but only if the have enough support, i.e. they own +75% (which if i understand it correctly can be in cahoots with another/other shareholder(s) to make up that percentage).

Correct Lankylad. The £2.9m raise comprises :

(1) Directors Subscriptions, pursuant to which the Participating Directors have conditionally agreed to subscribe for 1,250,000 Director Subscription Shares, raising £25,000 for the Company;

(2) The Placing, placees are institutional investors , both new and existing.

(3) The Open Offer, for Qualifying Shareholders

What’s an FMD?

Wow. Is that why the post clarifying the terms of the offer/placement got 9 upticks, because it’s bat$hit crazy, or was it because that’s what it says in the RNS you didn’t read?

Relevant persons are EU qualified investors and UK qualifued investors, which includes IIs.

So this is not all on the shoulders of PIs. I don’t think they’ll have a problem reaching their threshold.

I'll wait for the company to unveil their plans first. If it involves the non-dilutive mutually beneficial highly collaborative (not to mention historically successful) non-BP partnership that I hope it does, rest assured that more details will follow. If the company choose a different route, so be it. Much like you I watch and wait to see their next move.

As for the " funding worth 5 or 6 times a company's value ", I have no idea where this mad claim came from, it is certainly not attributable to me. Perhaps you've mixed up your sources?

Non-dilutive funding (as I have referenced it in the past) does not strictly mean a loan. Think instead of a quid pro quo; a service for a fee - without interest charges /reimbursement. Of course, one could get a bog standard loan. But why get a loan when there are far more innovative funding solutions, with added value, available? My hope is that is where the company are aiming. But who knows?

Recent assay developments (plural) combined with phenotyping inputs and further IFN related research have derisked is considerably since Sprinter. Collaborators / investors look at risk. That’s what they care about.
