Mike, as I understand it, having twice read the link info, its just the German laws & EU laws & the formulaic & legal order of things.
TUI have bank debt & German State debt since covid, which carry different interest rates & certain subscription rights, so in effect some dilution is already cooked in. They have very strict new agreements on debt repayments, partly it seems to avoid the 1€ subscription rights & to lower/end their expensive loans & interest repayments. They also have to get any deal past the EU commission on State Aid to business, etc, hence the precise & long sequencing.
As for extras, if the Russian war in Ukraine expands, they need to remain flexible financially & not play their cards too early. And the principal 30% Russian shareholder, will be diluted through these manoeuvres, possibly freeing up other corporate activity for TUI. There is news talk of other major investors being interested too.
They may also make a fortune, with huge cashflow, before December 31 & not need to raise too much.
Best guess, all is good for those who can subscribe, possibly a sell for those who cant, and a buy or wait & see share to the side-lined interested.
