As I said CUDDOTHISNOW Its not a great deal - but in our position on LC - could we get better? Have a look at HNR yesterday - they have fallen by less than what we did yet there news was like 10 times worse in my opinion - they still have sentiment over there - something we really lack. i think the market were expecting an investment into Metminco and what we got was investment into one project where we are only going to be a 30% shareholder. Im of the opinion the deal is the best we could hope and it gets LC from where we are to a saleable asset in the mid term

Do you believe METMINCO will hold 30% interest in LC after this deal and all tranches? - if Yes - then your in a decent long term deal

Thats how i read it - im classing LC as sorted for Long Term - which in due course should see us 10bag from where we are now as a minimum (subject to dilution of course) MNC just needs short term and long Term funding itself on other projects. I wonder if an intercompany loan will be available from one entity to the other???

your correct - CD CAPITAL are only investing in one project and not Metminco. This means we are still where we are with every other project

Get your point Snicket As we dont hold surface title which could never be transferred legally like this - we only have the interest - but thats is still a tangible asset and still needs to be dealt with legally and in a similar fashion. As long as Metminco retain 30% ownership of NewCo after all tranches (and NewCo retains 100% working interest in LC and i assume NewCo will purchase Surface title) - then the deal is actually decent - it gets LC from this point to be saleable (which is where we would all like to see every project) and MNC will receive 30% of sale funds. Suppose BOD need to confirm the ownership of NewCo and MNC will be a Shareholding Entity - with current Board been Directors to run it.

The NewCo will still be owned by MNC The Fund is providing no funding to Metminco - just on one project - with the setup of a NewCo. The deal isn't the greatest, but as a small minor junior explorer its a lot more than i think any of us expected - LC is basically funded for 3 years and will be ready for sale in circa 3 years - we will have a 30% holding - which is still a decent amount.

Is not illegal and is pretty straight forward and is actually a hell of a long term deal for Metminco NewCo set up with 100% ownership of LC We receive first tranche - Metminco retains 49% ownership. Further Tranches and ultimately the NewCo over the course of a few years is able to further explore and put together a DFS on LC. LC is sold to a major - it is close if not a Tier 1 Asset - NAV with DFS is easily $250million - so say a price of $200million, MNC gets consideration of $60million. These are pretty achievable numbers. CD CAPITAL FUND are only funding one project so we are only diluting one project - it sounds like most here would have been very happy if we got $45million but the full company was diluted by 70%

he will have sold and moved on. To think it will rise back today is shortsighted. I think in time it will but you usually need to give it a week before it settles. I think news was good - Market thought bad, PI's on here were mixed i wish i had sold when i had the chance and rebought for less but i think there is long term potential - circa $75million as my estimate

i had a small top up yesterday too - i read the Australia Announcement at 5am, i liked it - i did some quick calculations of what it valued the project at using the Funding Parameters and thought - this is OK, better than Crede or Darwin doing more damage for less cash, there is an actual plan, actual funding in place, everyone always says 'what about funding' - now we have it its like - 'its not good this' - lets face it - without this type of funding to AIM - no junior miner would exist

Scipio is perfectly correct - the investment is solely in one project and not Metminco as a whole. also in relation to the funding - it is dilution of one asset but again it is no where near as destructive as full Dilution - if we had to Dilute for $45million, there would be billions - this is a good long term deal - 30% of something or 100% of nothing

looks like panic selling - we still have 30% of a great asset and the DFS is funded - where this share will be in 3 years is way north of here

It is to a DFS though - where one would expect a sale / JV with a major- 10% of NAV is $250m 30% of $250m is $75m What company in our position doesn't need funding - look at all the Jusnior Miners, all have huge Dilution happening with the likes of Darwin or Crede - this deal is a lot better than that. Also if 70% is $45m, then this gives the Asset currently of $65m - 30% of %65m is $19.5m - below our current market cap

Pretty simple, Set up new corporation for this sole asset Metminco become 100% shareholder Tranche 1 released, Metminco retain 49%, CD Capital Fund own 51% As the other 2 tranches are released, CD Capital Fund's shareholding increases We can't give them shares directly in Metminco as this would give them a share in every asset, great move by board, also this gives a value of just under US65million for this Los Calatos

True, I'm 450quid up here in 2 days, I'm part of the herd would jump in on news never seeing the real gains of an lth but I'm 8k up this year and this smells ready to rocket, plus it is still really low market cap
