Not according to my knowledge otherwise countless millions of private US companies would be required to report .
As Nolupus says it is a win win for Avion if they obtain the SPA as the FDA parameters will give it a great chance of a major drug approval yielding a potential return of $ 500 m annual revenues for a small punt
Alora would write off trial costs and get tax benefits so probably net cost of just $10m.
Nothing to the high net worth investors in Alora.

You are right to question the lack of reference to Immupharma on the Avion website. Alora is owned by opaque investors as are many private Pharmas in the USA.
They are not known for their transparency.
We will see if Immupharma has made the right choice of partner very soon.

Alora Pharma does not have 500 shareholders so no SEC filings required.

Sadly Mark Reichenberg's wife's father died in South Africa and he was attending his funeral via Zoom when I sent the TR-1 Form.
Nonetheless he dealt with it promptly and sent me a very kind and professional email saying how much the management appreciate committed private investors as the Company moves forward.
A sign of a thorough gentleman on a sad day for his family.

I am not sure that I was calm and serene during the nosedive in the SP
but managed to be stoical as one has to when you invest in a share that
few were aware of ( apart from the small band of believers here) and involved
high risk despite its excellent products and promise.
We have not made our fortune as yet but things are looking a lot brighter for 2021
and the company is attracting a wider investor base.
As for my contacts with the company I can assure you it remains strictly business and
I have no knowledge other than what is out in the marketplace...they are much too
professional to have idle chitchat with me.
Expect another updated TR-1 Form from the company today showing my increased holdings.
Not finished yet at these prices.

I suspect the discussions revolve around endpoints and trial patients size.
The approvals of the Covid 19 vaccines is a case in point.
They have been approved to keep health care workers safe and stop the health systems from being over run with older people with medical conditions .
That is why the young will be last in the line for the vaccine.
The FDA are reassessing it's criteria for diseases in the light of Covid 19 and any safe drug that help people with an autoimmune disease in the context of the virus is being viewed favourably.
Look at the endpoints for Benlysta in its recent FDA......would it have been approved 2 years ago?
The wait continues and one suspects if it was a refusal of the SPA by the FDA they would have told Avion relatively quickly.

I would be shocked if the FDA refused Avion the SPA ...it would have to do on very serious concerns over Lupuzor and it's safety profile.
Given the results of the previous Phase 3 trial and
it's safety profile allied to the positive endpoints achieved in the European cohort who were Antibody positive and given the narrowing of the recent endpoint criteria for Glaxo with Benlysta
I would be more than surprised if the FDA refuses SPA.
Also Avion is a US company which may help though we cannot say it loudly!

Our Chairman Mao Tse Tim has a big shareholding in Incanthera and thinks it is the gold plated pension.
He may be right.

Do not ignore the company's 15% share in Incanthera whose cancer protective suncream Sol could be worth a fortune if approved in next year/ 18 months.
See recent interview on Proactive Investor where our Chairman and MD of Incanthera could contain their excitement on the potential of Sol.
The sums are as follows
Global suncream market...$10b
Say Sol achieves 1 % of the market ..$100m in revenues then we have a $1b market value for Incanthera and Immupharmas share is $150m if all the stars align .
Ureka Sarl and it's peptide drugs could be worth another $ 20m or more if they are progressed.
So scrap value could be significant indeed if dreams come true.
By the way I still think Lupuzor has a very good chance of success given the dearth of effective drugs in the autoimmune disease space .
That's my personal view for what it is worth.

Good investor relations is vitally important particularly in small public companies.
The company has recognised this of late with the market update allied to recent interviews and broker reports.
It now has a story to tell and certain targets to achieve early in the new year and it is important the SP pushes through 40p to unlock the 30p warrants netting another c900k in additional funding particularly as the company needs more highly skilled staff to push on to the next level.
The right people cost money so that is why I expect more proactive investor relations from now on.
I think the management understand this and are playing it's cards very well.

You are 100% correct.
3/4 million shares issued / to be issued from warrants exercised and 5G Fund taking up option
in last few weeks.
We have run out of buyers imho at the moment and we need some more positive catalysts to bring new fans to the club.
I am confident that will happen early in the new year.
