Yes I agree that Karen Millen would fit nicely into Frasers stores. But there aren't exactly that many of them. It would also fit nicely into many chains around the world and I'm surprised it hasn't happened.

Your scenario around Debenhams and Frasers retail estate is a potential conflict of interest nightmare, although I agree intellectually it sounds a good fit. My hypothesis has always been that there will be a partial spin off of Debenhams so that it can return to bricks. Once again, that doesn't need Ashley as CEO to make it happen, it just needs a decent working relationship.

If Frasers make a derisory offer whilst talking up the potential of the business they will just alienate the Ii's, which they can't afford to do if they want to win an EGM vote.

What I'd like to see is Frasers plan for the business before any AGM. There seems to be an assumption that Ashley would be some form of Messiah when the reality is he has no real experience of fast fashion or online.

1. How relevant is the use of the term title holder. Kodal isn't the title holder and never has been. KMUK is the controlling party of the title holder

2. Is this something that has been covered separately as part of the discussion and is therefore a variation on the standard code.

Having seen that legal clause I can understand where the confusion may have come from.

Hainan invested the vast majority of its capital directly in to KMUK, not into Kodal. Therefore it would seem equitable that the tax liability should sit where the gain was made
