If it does, the director is staying on, so I'd guess the structure will be similar to Semnet. Relatively modest cash stage payments followed by shares many months down the line.

It's Ashley seemingly raising funds personally.

If it relates to Boo he is either looking to buy off existing Ii's or there will be an open letter to Pi's offering to buy their shares.

Alternatively he could look to spin off Debenhams like has happened with Top Shop. That would be my preferred outcome for now.

If he does buy shares privately, the FCA/CMA view will be interesting

I'm intrigued how,when Boo on average turns over a couple of million shares on a bad day and maybe ten million on a big day, Frasers would manage to dispose of 300m in any form of short order

The most interesting thing is that Kamani and family own 23%. I did talk about a potential concert party emerging and it looks like extended family have been buying.

Assuming the EBT and other directors shares aren't included in the 23% figure, it would appear that the existing BoD still control more shares than frasers

The talk of a split up has been ongoing for a couple of months and Boohoo holdings 2 was set up in October, so I'm not at all convinced that it is anything suspicious.

It's a necessary mechanism for the sale or spin off strategy.

The fact that it is publicly referenced as a person of significance for all the brands makes it less likely that anything underhand is happening.

As for Umar coming back, he couldn't have done it more publicly. Surely if he was going to buy it back sneakily, becoming CEO would be the last thing he would do.

My main point anyway is that I don't trust anything either side say ATM. So it's important to counter the group think that Frasers are automatically good and therefore correct in what they say

Traders trade, they don't always call it right. They'll sell as they either panic or hit their minimum profit threshold.

I did say we would see this happen, although as usual with GSt the fall seems far more than the volume deserves.

George there is one fundamental issue with your analysis.

As Lav posted yesterday, responsibility for capital gains tax sits with the licence holder. Kod isn't and never has been the title owner. Ownership of the licence sits with KMUK ultimately, therefore I'd guess there is a strong argument that the tax liability is theirs.

In their 2024 accounts Kodal recorded a non cash capital gains of c£30m, which I'd guess they will be taxed on. So it would seem unfair that Kodal get taxed twice.

Kodal never actually saw the benefit of the 100m directly as it went in to KMUK directly. As the direct beneficiary, I would also assume they are responsible for any liabilities.

Everyone seems to be forgetting that so far all Hainan have said is that they reserve the right to reclaim the money from Kodal, in reality they may never attempt to do it or they may simply agree to take it from mine revenue if their view is correct
