I'm as gutted as you guys and this is truly awful.
The unanswered question is why major PIs voted YES knowing how awful this is. Mecuria had no vote.
How can Mecuria run the company to reward the 75% and shaft the 25%.
I live in hope as I have said a number of times there is some compelling reason for this transaction that cannot be made public and a few select major holders were made aware in confidence to carry the vote.
Agree no chance of a take over but perhaps a pleasant suprise.

These two were wheeled out fifteen years ago as game changers.

Fact cash represents 85% of today's market value. 100% in June 23.
This kamikaze board and ridiculous tin pot Tailwind deal has destroyed value by a minimum of 15% based on SP and a known tax regime and probably more like 50% based on a RISE in gas prices.
This is absolutely awfull.

IMO - the bulk of this is a rational market reaction which revalues SQZ to reflect the idiotic decision to aquire Tailwinds extremely average assets at a very high inflated price.
Speculation but in the unlikely event of a no vote SP will rise 15-20%

No doubt reflecting some hidden issue with those top notch absolutely excellent Tailwind assets we are acquiring.
They won't publish anything on SQZ standalone before the results as it would shine a light and get more to question why at approaching 90% cash we need this deal.
Sorry but the SP drift is nothing other than sentiment on a **** poor deal.
I live in hope that it will be rejected and the SP will soar as we are de riked.

Shady - I had the same logic re Peach.
Not sure there is any sign the bars business is distressed. Monday / Tuesday closing is really sensible.
I think Peach will underpun the company if things get difficult and they been to make selective closures.
Alternatively ax you suggest if market sentiment improves this looks cheap.
I do think Peach aquistion was a smart move and de risked the company

Stevo completely correct but the question none of understand is why the major investors are voting Yes.
It's clearly something they can't put in the public domain and I can only hope it will ultimately benefiting all of us.
It's horrible being kept in the dark like this

Seriously the cash generation is a weakness and let's hope its temporary.

Rupans if they are not generating any cash in half two with 84% load and £71 margins there must be some significant cash burn. Let's hope it really is one off.

They had cash of £179m in July 22 so its down by £39m. Sounds like most of it paid down ship debt.
Fundamental issue remains its not generating any cash from operations and paying down debt from recent bond issues and share raises.
Probably explains sale of underwriting business.
Still got some share in the wife's SIPP but feels like really slow progress

Net debt remaining higher than July 31st 2022 indicates they are not generating cash despite a good half year.
Business doing well translating it to cash is a real issue.

General - with respect you are completely missing the point.
We can't help market conditions and they should depress both valuations equally.
If Tailwind was a public company and listed they would be and its valuation would on all the evidence provided be much less than the £650m we are paying for it. Hence the offer has overvalued Tailwind as opposed to what value Mr market would assign.
I dreamt last night we had an offer of 350p cash and the BoD rejected it as it significantly undervalued SQZ.

Bubble it will take years to get this up and running.
Your best bet is Labour redefine the definition of new - to finds rather than producing which gets us over the line.
Real political nativity by Labour as energy security will trump environmental considerations with voters. This buts them on the back foot and they will walk it back as we move to next election.
Rachel is also suggesting she will back date WT. Again political noise only - sounds good but she knows full well retrospection is not allowed in UK tax.
None of this helps DELT even if the find is Whopper as opposed to Duster the village idiot is shouting about :)

I suspect the fall relates to Labour not approving any new oil or gas fields. So even if its commercial we have real doubts it will be developed.
This makes to some degree DELT less valuable and pretty risky.
My plan is to hold and sell on any spike but any get rich scheme on UK O&G is I suspect pie in the sky.

If there is some hidden agenda they are not or cannot disclose it must be pretty big and valuable to drag what at face value is an awfull deal over the line.

Supposed- super post and my thoughts entirely.
I MO there is a clear public skepticism on renewables and the recent spikes in price mean energy security and price completely trump environmental issues in the publics opinion.
The environmental lobby will vote Labour anyway and this could be a key battle area which I think will scare swing voters.
