Where does it state that the investors objective is to achieve that? The only part of the RNS concerning that valuation and ambition I believe refers to MXC's retainer - unless I'm reading it wrong. There also appears to be a typo there too:
'As an ancillary but integral part of the Subscription, MXCCM has been appointed, conditional on Completion, as financial advisor to assist in identifying, evaluating and, together with the Company's other professional advisers, executing potential acquisition opportunities. MXCCM will be paid an annual retainer fee of £30,000 increasing to £50,000 on the earlier of the Company completing its second acquisition and it achieving a market capitalization of more than £30,000,000 for 10 consecutive business days.'
Surely it should read as below or it doesn't make sense:
MXCCM will be paid an annual retainer fee of £30,000 increasing to £50,000 on the earlier of the Company completing its second acquisition OR it achieving a market capitalization of more than £30,000,000 for 10 consecutive business days.'
Also I'm intrigued to know how the warrants will work as it seems MXC have the ability exercise warrants endlessly though never exceeding 5% of the issued share cap. A license to print money as it were - but of course that depends on the company doing well.
Another point of issue is that - although MXC are indicated has subscribing to slightly more shares than Henderson and Euroblue is shows them holding a smaller percentage - another typo I guess.
There is nothing there to indicate that either Henderson or Euroblue or the others wont profit take from the off - it would have been good to have seen that condition written in. Hendersons certainly have a history of this. Just seems like a mates rates job to to me.
I see this as another MXC vehicle and it will definitely be them pulling the strings here. They are a clever bunch so I'm sure this will be something someday, but after the fundraise it will just be a cash shell with 5m quid and IMO definitely not worth 30m. Nevertheless good luck to all who have taken the plunge, personally I will wait till after the fundraise to make a decision
