All Active Asset Capital Ltd - London-based firm seeking investment opportunities in the technology, software and artificial intelligence space - Notes that MESH Holdings PLC and AAQUA BV have entered into a definitive sale and purchase agreement to acquire behavioural, ethical artificial intelligence and machine learning company Sentiance NV. On completion of the deal, MESH is to up its Sentiance holding to 80% on a fully diluted basis, with the other 20% owned by AAQUA. The deal is set to complete by March 10, after which MESH and AAQUA will release a further statement.
All Active Asset holds an interest in MESH through a EUR3.7 million convertible loan note that can, at All Active Asset's sole discretion, be converted to MESH shares at 40 pence per share. All Active Asset also holds an option agreement with AAQUA, allowing its to subscribe for as many as 125,000 AAQUA shares at EUR1,000 each, a total of EUR125 million if fully exercised.
