"More fundamentally is that managerial ownership carries on being significant after the IPO. This suggests that managers may have less confidence in staying for long in the market. This could imply that voluntary delisting may have been pre-empted at the IPO date, meaning that some managers may have brought their companies to the market at relatively a high price, left them drift down through time, and then take them private at a lower price. The main losers are the shareholders who trusted these firms and ended up either selling their shares at a loss or alternatively keep their holding in what would become an illiquid security as the only alternative will be to sell to the management. Overall, shareholders should be carefull when deciding to invest in such firms and that AIM should not accept such companies. While it is difficult to forecast such delisting at the IPO date, a deeper scrutiny of companies is required to avoid the failure of AIM. If a few people start selling it won't take long for him to get 75% it all comes down to the existing major holders, if Threadneedle sell we are screwed.
Just to be clear does he need 75% or 90% to delist?
I hold 2.75M shares, Got a note from Broker stating 1) accept offer 2) Ignore offer. You may wish to ignore offer but should it be declared compulsory ie, If 90% of shares are by PDJ (SOB!), we will accept offer on your behalf. Please NOTE that if the offer is declared unconditional and subsequently sufficient votes are received it is expected Expansys will delist. If this occurs and offer closes prior to it being compulsory, and you have not accepted offer, you will be unable to sell your shares or accept offer. All expansys Share holders are being screwed by PJ. Ive lost a considerable amount on this fiasco ! !
Deathlehem if you click the link or google, google groups, then in the search bar at the top put 'xps holders forum' you will then get something saying Groups matching xps holders forum just click on that, and then it will ask you to go through a procedure and when you have finished it will say Your membership is pending. I have now been pending for two and half hours, so good luck
I think you're picking up 'topics', but the 'group' is there and should be visible. Search again for 'xps holders forum' and let me know if you're still having problems.

Nice to see some additional buys today on top of the two 13,000,000 buys there is an additional 1,197,951, lets hope and prey if need be that these also haven't gone towards Mr Jones syntheticgenetic don't forget to update and add the additional 13 million to MD in the file, great stuff
Medical Debenture is the buyer of one of the 13,000,000 buys and they have taken there percentage to just over 10 per cent which is great news for us all, hopefully they are the buyers of the other 13,000,000 as well. They really are not being fazed out by Peter Jones good on them.

If shares are bought during the offer period by PDJDidco (offerer) at a price higher than the offer price, then I believe the offer must be increased to that price. Not sure if PJ may have transferred to that company so that he can buy more directly from the market above 0.62p (in his name) without increasing the offer or even if that would be legal. It would certainly be unethical but.....If he could get away with that I assume he would still need to declare when he reached 1% (in his name) during the offer period so he wouldn't get many that way. More likely other investors are buying those and so improves chance of an increase in the offer price...IMO
You're welcome. It is my pleasure to assist. I feel very strongly that although the information *is* out there for all, many individual investors are basing their decisions on simple fear of a strongly worded offer in a single RNS rather than any objective knowledge of what's really going on in the background. Hopefully the collation of the RNS information will allow individuals to make a more informed choice based on realistic knowledge of the distribution of XPS shares in the wild. Going of the trade buys on ADVFN there has been two 13,000,000 buys, so a total of 26,000,000, would love to know who has acquired them and I am sure time will tell us.

Please find attached a file [ALL_RNS_XPS.zip] containing *ALL* publicly available RNS on XPS available from lse.co.uk from the dates [Mon, 28th Sep 2009 10:16] to [Tue, 18-Feb-14 16:12] If one unzips the file into a directory one may then simply perform a simple text search to locate details of specific individual's purchases etc. Also, if one searches for the class/type of shares [GB00B1VMLL97] one may locate all 'Notifications of major interest in shares'. Additionally, by opening the relevant .htm file(s) returned from the search you will be transferred to the equivalent online page containing the RNS (or else, your local copy of same) This information forms the basis of the info contained in the spreadsheet image posted earlier. Interestingly, the 'Credit Suisse' purchase of 12,471,469 shares on 14th Feb 2014 does not seem to be listed on lse.co.uk.. I did however, locate it from iii.co.uk and it is included in the .zip file for completeness. If you find anything of note within these files that we may have missed, please post back in order that we may all gain a fuller picture of the situation. Sincerely

Thank you too ccrobins. Re Bob Wigley - because he is also being handsomely paid to support the mismanagement of this company, and may well have the nod from PJ that his employment will continue post-delist? I'd suggest that in that context, 50k is chickenfeed to the chap.
great work syntheticgenetic, I have just read your findings. I think we know he wont get 90% but the 75% is the worry. I would guess that the 22.8% you have found would all have paid more than 0.62 and so unlikely given their investment amounts roll over given these people invest for a living. we can also now account for just under 1.5% of the unaccounted shares as us little people own them. I think this is looking promising for us! shame we cant just 'phone around and ask those on the list what they will do. Interesting fact - Bob Wigley has 8.4 million shares @ 1.49 and at 0.62 stands to lose around £50k - why would you do that???
ok so from what I can gather we little people can account for around 1.5% of shares that will be not sell at 0.62. in addition we know that medical debenture has recently been buying at more than 0.62 and they account for 10%, I would assume they are not going to sell at 0.62. so based on this also PJ CBE cannot get 90% we need to now account for the next 14.5% - I am aware of threadneedle but no idea how much they have or which way they will go - can anyone shed any light on the 14.5% ?
