I get it now - MD are selling at 0.65 so an easy 10% for PJ - plus if I read correctly this means PJ has more time to hoover up the rest · As at 5.00 p.m. on 26 February 2014, acceptances of the Original Offer had been received in respect of 12,201,761 Expansys Shares, representing approximately 1.05 per cent. of the existing issued ordinary share capital of Expansys. As set out above, Expansys Shareholders who accepted the Original Offer will automatically be deemed to have accepted the terms of the Increased and Final Offer by virtue of their prior acceptances. Of these, 7,007,942 Expansys Shares (representing approximately 0.6 per cent. of the existing issued ordinary share capital of Expansys) were in respect of irrevocable undertakings given by the Expansys Directors and none were in respect of persons acting in concert with PDJ Bidco. · Irrevocable undertakings were given by the Independent Expansys Directors in respect of their own beneficial interests in Expansys Shares in respect of the Original Offer. These irrevocable undertakings remain in effect in respect of the Increased and Final Offer. There are 14,262,853 Expansys Shares (representing approximately 1.23 per cent. of the issued share capital of Expansys) which remain subject to irrevocable undertakings from the Independent Directors (and which have not yet been assented to the Offer). · In addition, PDJ Bidco has received an irrevocable undertaking from Medical Debenture Investments Limited and Paul McMahon to accept, or procure the acceptance of, the Increased and Final Offer in respect of their beneficial interests in Expansys Shares amounting to 117,000,000 Expansys Shares (representing 10.07 per cent. of the entire issued ordinary share capital of Expansys).
Maxed - 1. You will just need a (free) gmail account. 2. Use the 'search' function within [ www.groups.google.com ] to search for 'xps holders forum' 3. Select the 'Apply for membership' link. There are then three further simple steps to follow to ensure that only moral, human, XPS shareholders may join, and not trolls. Thank You, and hopefully see you there...
The change on this forum in the last week has been good to watch, in my opinion it looked like everyone was going to roll over and take the 0.62 offer but now I do believe there is a very good chance pj cbe will not get 75% next week and that is very very positive for us. As for price yes I probably would reluctantly take it but I don't see it as the true value. It was my original plan to hold this until 5p which I beleive was possible but not now
these big buys are worrying or potentially this could be a massive result if these are already investors (not PJ) - assume an RNS should follow today?? great work syntheticgenetic in getting all this info together, the more I read the more I am sure holding is the right thing to do
great work syntheticgenetic, I have just read your findings. I think we know he wont get 90% but the 75% is the worry. I would guess that the 22.8% you have found would all have paid more than 0.62 and so unlikely given their investment amounts roll over given these people invest for a living. we can also now account for just under 1.5% of the unaccounted shares as us little people own them. I think this is looking promising for us! shame we cant just 'phone around and ask those on the list what they will do. Interesting fact - Bob Wigley has 8.4 million shares @ 1.49 and at 0.62 stands to lose around £50k - why would you do that???
ok so from what I can gather we little people can account for around 1.5% of shares that will be not sell at 0.62. in addition we know that medical debenture has recently been buying at more than 0.62 and they account for 10%, I would assume they are not going to sell at 0.62. so based on this also PJ CBE cannot get 90% we need to now account for the next 14.5% - I am aware of threadneedle but no idea how much they have or which way they will go - can anyone shed any light on the 14.5% ?
a group would be great although I don't believe I know enough to set it up however I will certainly support it and do what I can if someone who understands things more has the time to do this? we maybe small individually but united we can be heard
ok so already we can account for around 3.4 million shares that wont be sold - keep the news coming, the more there are of us the more chance there is that we will see the return we should - admittedly when I do not know but we cant just roll over!
really not sure what to do, threadneedle and MD give me hope but I suspect the reality is whilst PJ CBE may not get 90% he will get 75% and so de list which means if I don't sell I may never see my money again. I hate giving into bully tactics but cant really see a way out here. This happened to me once before with a share and I gave in (morson group). I suspect its time for me to give up on shares - I really thought I had something with this one - obviously I did as PJ CBE is going to make fortunes!
Thanks Carlton, its a tricky one and I am certainly stubborn plus I am inclined to gamble and wait. If he does de list however what happens to us? I assume we continue to have shares in the company and given he isn't doing this for fun its likely the value of the shares would go up however we couldn't sell them?? they maybe worth more but what good would they be?
apologies as to be honest I don't understand shares that much but I had hoped I had something that would flourish with XPS although I am doubting this now. over the last 2 years I have been buying bit by bit and have averaged out at 0.7. I haven't spent masses although 3k is a lot to me. from what I am reading I either accept the 0.62 offer or if I reject and PJ gets 90% of the company then I am forced to take 0.62 - is that correct? If he doesn't get 90% what happens? I suppose what I am asking is if I reject then as far as I see it my shares will either be compulsory purchased at 0.62 or if PJ doesn't get what he needs then surely the shares would go up in value? if I reject 0.62 is there a chance I could lose more money?
