Last post: Mashup0001, 9 May 2023 14:17
From the advfn website....
I’m in touch with a group of shareholders who have a Telegram account and purportedly represent over 50% of our shareholder base. Their sentiment is to have a general meeting to approve a solvent liquidation of the company and the Smarttech shares + any residual cash to be distributed to the shareholders.
Apologies that this is dragging on but the delay is out of my hands as we’ve been finalising a large VAT reclaim that was finally submitted last month. I have not wanted to complicate this (with initiation of liquidation) as I am advised that we are eligible for the money and it is significant. We have had further questions from HMRC into the claim before it is paid and our accountants who have got a full reconciliation of each entry (and this has been where the time has gone) have already replied.
We have initiated the drafting of the circular and it will be published as soon as possible because we believe the consensus of shareholders is to pursue this route (liquidation and distribution).
Noted that the SM247 price has fortunately moved in our favour and I am hoping that further positive news flow will keep this strong with good liquidity. The rationale of Smarttech was to deliver growth and on that basis CCAP shareholders ending up as SM247 shareholders was always the intent (albeit the original terms for the RTO were on more beneficial terms but unfortunately that was taken out of our hands).
We hope to get the circular out before the end of this month/early next month.
Best Regards,
Greg Collier
WTF is going on with this? It has been a long time now and starting to feel as though I've been robbed and should call the police!
I wouldn’t hold your breath. Would be very surprised to see this return in any meaningful sense. And certainly not anytime soon, when directors have other going concerns to worry about. Always the danger with Shells.
When can we expect an update here?
Thats a betrayal and very poor

I think CCAP still have cash in bank but the cash paid out to enable a reverse takeover will be paid in shares.
Die-diligence work and negotiations
So does that mean just the costs end up in shares & the company still retains the cash balance or the whole lot is in smart tech shares ?
All of the money CCAP spend on the failed reverse takeover will be paid back to CCAP in Smarttec shares.
Meaning CCAP will become and shareholder, we will then see more value in market return.
All that said we need a reverse takeover for CCAP to hit the market again and enable us to trade out CCAP shares; if they trade as CCAP…
Who knows...i was told they were Wiss kids...well i am not sure about that...
So does that make Conduity an Investment company and will relist?
Last post: cattleman, 24 Sep 2022 00:16
I guess today Budget....or what ever you call it will help this now..must be some companys looking for a listing
Not as bad as it could have been imo not all is potentially lost, could be another potential acquisition down the road in time.
Sadly it is yet more time.
All that time wasted...not good and they said that these guys were smart...well i am not so sure...18mths and zero
Smarttech247 - update
As previously announced, Conduity Capital has been actively progressing a reverse takeover ("RTO") of Smarttech247, a global managed detection and response company with a leading market position in security operations.
Following the outcome of initial marketing, Smarttech247 has now decided that it would be preferable for them to seek a quotation by way of a direct IPO rather than by way of an RTO with Conduity and so will be seeking a listing on AIM in Q4 2022.
The Board of Conduity continues to believe that Smarttech247 represents an attractive investment opportunity and therefore Conduity is in the process of agreeing a refund of all costs that it has incurred to date in connection with the RTO, which would then be used to subscribe for new shares in Smarttech247 on the IPO. This should therefore still provide Conduity and its shareholders with a material investment in Smarttech247, whilst providing a full recovery of costs incurred by Conduity as part of the RTO process.
Going forward, Conduity will be working on various options with its advisers in order to create value and liquidity for its shareholders.
A further update will be provided in due course.

RNS pending, news will be out this week.
‘Negotiations’ ongoing but Capital Raise was done without CCAP knowledge which is a spanner in works.
Well a lot worst things could happen than having shares in Smartec...up and coming company...we will see soon it appears
It's possibly not good. On the other hand, the IPO was announced last week and yet there's still been no RNS. All there's been is some hints that 'negotiations' are ongoing. At the moment, no one knows what the outcome will be. It's possible I suppose that we all end up with shares in an IPOed Smartech.
So whats the most likely outcome as i cannot get on the telegram grp...oh dear it does not at first sight look very good for us then
Not everyone lives in the UK so different time zones. I don't.
In a nutshell, the RTO has stalled because smartech announced they were going for their own IPO instead. Since then there's been intense negotiations and we should have an RNS very soon. Smartech have to riase 3m by end of this week if they're to pursue their own IPO.
Check the Telegram group 'CCAP you've been Gregg'd' for info.

Hope its worth the wait!
Of course they will...in a reverse takeover of Smarttec just seems to take longer than myself and many thought
Are we thinking this will come back at some point?
Wonder if we will learn anything?

That will do....as long as it does...Plenty of Patience...but would be nice to be kept informed.....of course thats too much for one to expect
Yes.....news just in......LSE members learn patience
Oops maybe not.......hide this away til end of year. I expect you can cash out then
Anyone any updates...good or bad?
Thanks for the update...i used to be on a telegram group.....but it vanished out of sight...Thanks
Smarttech247 are using fortifiedadvisory as their rto managers.
The company looks slow.
They have partners they trust so much they let them work independently....
In the "what do our customers think about us" section
There are no comments.
And they state " we do all the work so you can run your company"
I'm not sure ms sacaenu or mr Murphy have any more idea than anyone else what's going on.
*infact
Smart tech want to list as a rto "sometime this year"
And double their staff by years end.
If you trawl through their twitter there is a small mention of the rto by raluca sacaenu.
Today intact.
And it's obvious they post a lot of job vacancies.
Chin up lads

Still no news...
I wonder if we will get any news this week....this is turning into a let down
Anything but a failed RTO by the looks. You may wanna look at the CCAP investegate (RNS reach) , things going well and suspect relisted within the next couple of months.
Antelope the group hasnt vanished, it just moved to invite only.
Highly confident all will be well here.
I think its very unfair to assume that this is indicative of a failed RTO.
I have every expectation that this will be concluded by the end of the year.
I'm important and ITK and I have it on goodish authority that it's now undoubtedly June... or maybe July... or possibly August?
Its May now...so whats going no updates of timing at all
Nope :-(
Any news anyone....??
The dates keep getting pushed back....let's hope for May/ June or anytime soon

Used to be on the telegram chat group but cant get on to it now for some reason ...need an upgrade or something i think,so missing all the news...anything happening as yet
Looks like everyone missed it…
Ah, was there a reference to there being an update this week … hadn’t seen it … thanks
Relisting not relocating
There will be an update sometime this week. Shareholder vote looks to be around early May and relocating soonish after that.
Early April would be lovely, here’s hoping…
Tweet today from ceo smarttech saying ipo in April
Not long now
So when are we all expecting some news....time is moving on now
Ah I see why I couldn't find it on the usual channels - it's a Reach RNS so non regulatory.
Here it is for anyone interested and yes I agree it looks encouraging.

It would be good if the company could release an RNS outlining progress and timescales....
It isn't new news as it was discussed here last year - I think most people assumed it had stalled but it's interesting that the report states it is planned for February. Fingers crossed
Great find! Also been following for a while and am new to this - what does this mean for the stock? Does it mean our shares will be re-listed (perhaps under a different name) and at what point? GLA
Apologies, the link was removed. You can find it via Irish Examiner (was posted about 1 day ago).
Been following this thread for a while but finally made an account. Interesting article here, look at the last paragraph.
“…the company is also preparing to float on the London Stock Exchange next month through a reverse takeover deal involving Conduity Capital for €39.3m.”
https://www.irishexaminer.com/business/technology/arid-40783107.html
Some good news?
With current shares in circulation that would be 20p (39 m euros). Obvs we gonna get diluted, but coming back at 10p would still be great.
By the end of the month hopefully will be interesting the value it comes back
Thanks Dibs61, HL also advised the new shares will be assigned appropriately on listing ??
HSBC - showing as 'STK Out' and seems to have disappeared.. Will this come back when they relist or holding gone?
Thanks jh, helpful...
Thanks for the update
smarttech was set up as a company yesterday (or the day before) and has 1 director Greg Collier
he has confirmed that things are proceeding as expected and all parties are still aligned
the email was published yesterday in the CCAP telegram group
so nothing to worry about so far....is the message from Greg (the so far is my little add on)

Now sure thats not going to happen here...but its a great question...and i guess because they were in an ISA you cant claim the loss if it did happen...anyone with any concrete facts on that please
I guess that does mean, should it all go t*ts up, you can declare a capital loss on your tax return.
A little disappointed that my future mega gains won’t be sheltered within an ISA!
;-)
HL has just notified me that my shares in #CCAP have been delisted and will be transferred to my shares and funds account on the 5th Nov
Liking the words “urgency to restore trading” hopefully not long to late.
Thanks for the response ??
Curve - No. Not sure about warrants but all shares currently held would be reinstated as a part of any delayed RTO beyond the deadline.
Curve, I e mailed Greg Collier on the day of the last RNS asking the same question. He kindly replied the same day and the following is part of his response to me which I think answers your question:
Thank you for your email.
If the transaction drags on beyond October and the delisting date, it will not affect your shareholding as the transaction constitutes a reapplication to AIM (by virtue of the RTO).
The urgency for us is to restore trading as soon as possible to give shareholders (like yourselves) the opportunity to buy/sell shares in the market and have a live share price.
Hope this helps
Could anyone clarify, if the RTO isn’t completed within the 6 months and the board decide to apply to relist on the AIM and then pursue the takeover of Smarttech due to time constraints, will any shares or warrants held here be lost?
Its going to be interesting how they raise the finance......will s/holders get a chance to take part....if it goes ahead i think it will be a great investment story
