Great reply Prim for All.
It's so easy to become impatient when silence hits but you have certainly shown your intent this year and I'll definitely be sticking around for the long haul.
I don't tend to trust AIM stocks but PRIM is definitely the exception to that ruke. Being patient is not a strong point of mine but I'm going to sit on my hands and wait. I'd be topping up but the spread really is hard to stummoch right now. Nothing anyone can do about that I guess.
Well there lies the conundrum of investing. You may well make money else where investing or lose money but that is the opportunity cost and up to each individual.
Monthly updates is just not viable as private companies sometimes only update once/twice a year depending on the news and sometimes out of the blue. We are obliged to report any market moving news through an RNS. We are not the sort of company who releasesRNS for the sake of it like many other AIM companies who just pump a load of nonsense. We aim to reward long term holders as proved.
As ever if you have specific questions I am happy to answer via our company email if I can.
It's so hard to be patient on this one when the price slides like it is doing and there's no news. I reckon this will reward us again eventually but in the meantime, how much could be made on stocks like Zeta Global? Prim could do with issuing monthly updates. I do trust this board (not often I say that on AIM) but it's hard to know whether the next big news and potential dividend will come in the next week or the next 5 years. Patience needed.

Note also on 0JPN
Funnily enough, I'm on both PRIM and 88E. Don't hold your breath on 88e. It'll take a decade before they see a return. By that time we'll be diluted to dust. My holding is so small it's not worth selling but if it was bigger I'd be looking to offload and top up on PRIM (even if that does mean significant patience).
Today's news.
Primorus announces "significant dilution" of stake in investee company
Mon, 15th Apr 2024
(Alliance News) - Primorus Investments PLC on Monday said its stake in Engage Technology Partners Ltd has fallen to 2.0% from 4.5%.
The London-based investor in small and mid-cap companies said Engage, a supply chain management software company, recently embarked on a restructuring programme.
To retain and incentivise the management team, the restructure included the allotment of shares and options which have subsequently diluted Primorus' holdings.
With 92,374 shares, its stake is currently valued at GBP158,000, representing an 89% reduction in its current carrying value.
"As and when the company receives further information about the restructuring and on-going plans of Engage, the management of the company may make further assessments of the value of Engage," said Primorus.
Primorus shares were down 2.5% to 4.05 pence each in London on Monday afternoon.
Closed today up 2.41% with 12.5% spread.
Order to buy with ISA funds maybe correct idea today.
Failed to execute, no live deal available .
Bought 88e instead .
RNS 7am One investment marked well down.
10% down but spread over 14%.
Wi informed the consolation was 1-20 the buy there 3/4/18 at 0.14p . ( 100 % tranche size )

With microcaps on customary enormous spreads the pricing becomes arbitary. Someone might buy £2k of shares and it could move the same amount in the other direction. Just balancing the books.

Just wondering if someone with more experience can help me with this question.
If I read it right, there has been 1 trade today, a sale worth £2000. The price is down 2.35%. That's reduced the Market Cap by about £140,000.
I'm sure it isn't the case that a £2000 sale has wiped £140k off the company value but can anyone explain what I'm missing.
Many thanks in advance.

As the rest of the market tanks, PRIM seems to be holding up well. A sign of long term patient investors and a trustworthy BoD who are not afraid of rewarding loyal shareholders. The 1.5p dividend, together with clear and timely communication has cemented this stock, especially with future good news (potential) imminent.

If there's a severe reaction now might be an ideal moment to start utilising the buyback option
That's a bad one, 89% reduction. In my valuation calculations last week I had Engage around £1.8mil, what we paid for it, now worth £158k. Ouch. Prim team (and other investors in Engage) can't be pleased with that dilution. Unless the restructuring results in significant growth this should now be considered a non-core investment

Hello Testing321
Good to hear from you.
No, I am not back in. No funds at present as ironically, I have been moving away from AIM back to “dividend payers.”
I do like Rupert, one of the best Directors on AIM in my opinion.
I hope to be fully out of AIM later this year, too many nutters Posting on shares that they say they do not own but you don’t see the same idiots Posting on the likes of LLOY or LGEN.
LSE South East have messed-up the Bulletin Boards with multiple adverts and permitting the Trolls to spam constantly.
I wish you well and all LTH of Primorus well.
RKB
Hi rkb good to hear from you, have you bought back into prim?
Engage Technology Partners
On Companies House there are two important documents that you may want to peruse.
7th Feb 2024 Resolution of Allotment of Securities
11th Apr 2024 Statement of Capital
On 12th March there were three batches of Shares Allocated
855,647
837,423
937,369
Total: 2,630,439
You may want to investigate why these shares were issued at the price they were issued at.

Has anyone used the We Shop app? I've just used it for the first time. It looks good. I wonder if Joe Public will be patient enough to wait 12 months for a payout or understand share ownership but for those who do, this looks a good thing. The main drawback at the moment is that it's not well marketed - I wouldn't have known about it unless I was invested in Prim. I know that this isn't a core investment but maybe some potential still exists. Payouts have been between £250 and £9000 in year 1.

Testing123,
Thanks for this. Looks a very balanced set of calculations. Fresho is the exciting bit. Would be good to hear an update on ALTE but I have every confidence that the board will update us when the time is right.
So any significant value increasing event in say Fresho, WeShop, Engage, Alte will put our NAV above our MCAP
Poormandreaming - here is a NAV calculation for you on Prim's holdings, with assumptions:
1. Fresho - if we take our total holdings and the last raise price, we get £1,638,003. Let's say double it as we know Fresho is continuing to grow, this gives us £3,276,006.
2. Engage, let's assume the value is the same as the last raise price, so total of £1,781,894.
3. CPH2, price has gone up but is still substantially below what we paid. At today's price this is a total of £325,000.
4. ALTE, the RTO with Verdant seems to have stalled so let's say this is just what we put in - £350,000.
5. Interpac, let's assume same as the last raise - £416,880.
6. WeShop, based on information from WeCap (formerly IamFire), from a January update, they own 15.3% of WeShop at a value of £24,600,000. So if prim owns 150k shares the value is £842,348.
This gives us a total value of current investments around £6,992,192. This almost matches our current market of £6.43m. There is still then the additional proceeds from the sale of the FMI Payapps business as well as cash holdings.
Excellent thanks ruskinboy I've received my too

Yep. Halifax paid. Waiting for my automatic reinvestment to kick in. Wonder what rate it will be.

It seems like the delayed dividend allocation happened to give Stephen Ball time to shift his shares from his personal capacity to his corporate/company account in order to better manage his taxes. For more context have a look at the conversations on ADFVN

Thanks. I loved my Fresho theory but another bit of straight talking from Rupert. This is fast becoming my favourite stock.
Poormandreaming.
In answer to your question re divi.
Quote from Rupert chairman.
"purely an internal administrative change due to the bank holiday. Normally LSE record days are on a Friday but this was not possible due to Easter. We were informed that LSE timetable now allowed for the record date on the Tuesday after Easter. These days also helped out with our liquidity management. Payment date exactly the same so shouldn't make any difference.
Yeah, I saw that. Does anyone know why that might happen? We all know that the share price is likely to dip by around 1.5p when it goes ex-divi. But, would it if it going ex-divi was timed to coincide with positive news on Fresho? What a clever move that might be. Anyone with more experience got any other theories?
Div date seems to have changed to next week.
Doubt that very much.

Wonder what the tax implications are on the PayApps disposal? Even after payment of the dividend there is still a decent profit so (on paper) the sp might not fall that much. Soon see.

Spread is a disgrace.
HL were 5 and 6.5 when I posted. Even at your figures it's making me think twice about topping up.
Sells are at 5.6 and buys 6.3
Just as you thought the spread couldn't get any worse, 5p sell 6.5p buy. Market Makers are Market Breakers here. What's going on?
Last post: kernowlad, 12 Mar 2024 14:03
Debating whether to stick to my standard automatic reinvestment of divis or take the cash this time given its size!
An excellent decision by the directors to pay out a divi, it now means my shares cost me less than they did, if the mm's sort out the ridiculous spread we may get more people interested. This proves the directors are aligned with the shareholders. Next Prim will get the rest of funds from Payapps when the rest is sold, we still have Fresho, prim only last week invested more and wouldn't have done so if it wasn't going to be another liquidity event, plus we have Engage ( update would be handy) and Alte ( rto event) plus more. This share has plenty of upward potential. Need to get the spread sorted. Very handy getting the divi gives me some funds and enables me to hold onto my existing shares for longer.

Only 8 trades, the market is completely sleeping on this share
Only if you sell.this is going to be one of the few successes on aim.a lot more to come imo.
Here's a 1.5p dividend, but you'll sacrifice 1p in for the privilege
Spread is awful

Well played Rupert!
What price is this tomorrow
I believe there are shorts in the market
The free float is very small
But cash and fresho equals the mkt cap
And fresho may be worth a lot more than 1.6 mil
If engage or alte come good then we're laughing
There are other investments
And opportunities
I had hoped this is what they would do, but deep down didn't expect them to. Very pleased they have decided to do it.
Didn`t expect that !!!
Not only the spread is huge, cannot deal in any size as the normal market size is only 15,000 shares. Its been the case for number of years. I would have added some, just did not want to do it in such small quantities.
I will just sit tight at the moment, with what I have got and wait for value to come out eventually. Its beginning to look that way with the payapps money banked.
Near term hoping for some good news regarding ALTE Share Investment, which could turn to be an astute move by the present Board.
Most of us who are holding seem to have been here a very long time, with the company having had number of name changes over the years.
We could do with a dividend stream starting in the very near future, for the long suffering shareholders to get some value returns.
Looks like they dont want this traded with a 37% ! spread.
I wonder why ?

I wonder if Mr ball is associated with any other parties
If memory serves me
Alistair Clayton had a personal holding of 1.4 %
In payapps nice pay day
Despite the share price having almost doubled in the last few weeks Mr Ball still sees these as worth buying.
Corporate action coming soon?
SND still require cash and pretty soon too.
Scam market makers. They’re the only winners!
37.5% - huge. Hopefully it'll open at a more reasonable level. If it remains it could put investors off. Those of us who have sat patiently on Prim know that there is still potential for it to double again but for a new investor to know it's got to go up by nearly 40% once broker fees are paid just to break even might be of putting. If the spread goes back to 10% l will be topping up as quickly as I can. New car time!!!
It looks like someone (possibly several people) went on a bit of a spending spree in the last hour of trading on Friday.
See what transpires Monday, if anything.

Weird market because plenty cash shells with less cash in terms of there market cap and a few "Directors" on board are valued much higher...
if they reverse into something or an acqusition (as rns states) then this could be very interesting.
Received cash £4.8M.
Current market value £7.69M.
We should also have received around £1M from Bushveld.
So hopefully more scope to rise here.
Looks like there is more to come also, from this separate sale -
"A separate sale process will be conducted over the coming months following the closing of the Acquisition with the net proceeds from the sale of the FMI business to be distributed to Payapps shareholders as additional consideration, however, neither Payapps or Buyer are party to or responsible for such sale arrangements of FMI following the closing of the Acquisition. Primorus will issue further announcements in relation to the proposed disposal of the FMI business in due course"
Now what to do with all that cash?
Brilliant news, £5million cash, almost as much as current mcap, and ignoring the value of all other investments. Should be a good day, prim is vastly underlooked
