HOLDINGS IN COMPANY AND DIRECTORS' DEALINGS
eXpansys plc (the "Company") has been informed today, that on 1st December 2009 Virtual Phone Shop Limited ("VPS"), a subsidiary of Oval (2074) Limited ("Oval"), a company controlled by Peter Jones, transferred 35,634,201 shares to PDJ (Shelf 1) Limited, a company in which Peter Jones is a substantial shareholder and director.
On the same date, VPS transferred 89,530,931 shares to Peter Jones.
On the same date, VPS transferred 19,156,460 shares to Oval which subsequently transferred these shares, on joint ownership terms, to an Employee Benefit Trust ("EBT") for the benefit of employees within the Oval group.
Following these transactions, VPS, Peter Jones, PDJ (Shelf 1) Limited and the EBT are the beneficial holders of shares in the Company as follows:

As a result of his interest in VPS and PDJ (Shelf 1) Limited, Peter Jones is interested in 125,165,132 shares in the Company, representing 70.25% of the Company's issued share capital.
The Company has also been informed that Stephen Vincent, a non-executive director of the Company, has acquired a beneficial interest in 6,250,000 shares held by the EBT for a nominal sum, representing 3.51% of the Company's issued share capital.
