Acquisition ofĀ HELMĀ Corporation
Tribal Group plc ("Tribal" or the "Group"), a leading provider of consultancy, support and delivery services to the public sector, is pleased to announce the acquisition of a majority equity stake in The HELM Corporation Limited ("HELM") for £15.1m.
HELMĀ is aĀ leadingĀ consulting businessĀ providing management and financial consultancy services to the public sector in theĀ UKĀ and internationally.Ā Ā The businessĀ is based inĀ Northern IrelandĀ andĀ has been established forĀ over 17Ā years. ItĀ employsĀ 82Ā staff andĀ works withĀ approximatelyĀ 95Ā active associates.Ā
The acquisition represents an important step in Tribal's strategy of growing its businessĀ internationally, developing itsĀ UKĀ consultancy offeringĀ and increasing theĀ levels of committed income. ApproximatelyĀ 60% ofĀ HELM'sĀ revenue is generated outside theĀ UKĀ and the company is currently undertaking assignmentsĀ inĀ theĀ RepublicĀ ofĀ Ireland,Ā Europe, Asia andĀ Africa. In theĀ UK,Ā HELMĀ works with a range of local and central government clients inĀ England,Ā ScotlandĀ andĀ Northern Ireland.
Much ofĀ HELM'sĀ international work is associated withĀ long-term development projects that provideĀ high levels ofĀ revenue visibility. For the remainder of 2008,Ā overĀ 85% ofĀ the company'sĀ planned revenue is already committed and, forĀ 2009, the equivalent figure is 45%.Ā Ā

HELMĀ will form a new practice areaĀ within Tribal's existing consultancy business. HELM'sĀ expertise in finance, audit and governance will enhanceĀ and complementĀ Tribal'sĀ currentĀ consulting offering,Ā whilstĀ itsĀ overseas experienceĀ and strong relationships with major international donor organisations,Ā such as the World Bank, EU and the Department for International Development,Ā willĀ open up new markets for Tribal's existing services.Ā
The senior management team will all remain with the business and retain a significant minority interest in the equity ofĀ HELM.
HELMĀ has demonstratedĀ strong growth in recent years. In the unaudited management accounts forĀ theĀ yearĀ endedĀ 31 March 2008,Ā HELMĀ hadĀ grossĀ assets of Ā£7.9mĀ and achieved normalisedĀ operating profitĀ of £3.4mĀ on turnover of Ā£14.7m.Ā
Tribal has purchased 72% of the issued share capital of HELM from its senior management team for a total consideration of £15.1m to be satisfied by:
Ā£11.8mĀ in cash; and
the issue ofĀ 2,507,582Ā new ordinary shares of 5p each in Tribal ("New Tribal Shares").
Further consideration of £1.6m (to be satisfied in cash) will be paid to reflect HELM's surplus cash balances at completion.
Tribal plans to invest approximately £300,000 over the coming months in integration and developing HELM's infrastructure and systems but the acquisition is nevertheless expected to be earnings enhancing in the current financial year to 31 December 2008.
Tribal has entered into anĀ agreement with theĀ HELMĀ shareholders that allowsĀ for Tribal to acquireĀ from 2011Ā the outstanding shares inĀ HELMĀ on the basis of a pre-agreed price formula. The consideration for acquiring the minority interest will be cashĀ or, at Tribal's option, 60%Ā inĀ cash and 40%Ā inĀ new Tribal shares.
Application will be made for the admission of the New Tribal Shares to trading on the Main Market of TheĀ LondonĀ Stock Exchange ("Main Market"). It is expected that the New Tribal Shares will commence trading on the Main Market onĀ 19Ā JuneĀ 2008. The New Tribal Shares will rank pari passu in all respects with the existing ordinary shares of 5p each in Tribal.Ā
InĀ order to retain financial flexibilityĀ andĀ inĀ the light ofĀ a growing range ofĀ opportunities available to the Group, the boardĀ of TribalĀ has decided not to initiate share buy-backs at the current time but to keep the matter under regular review.
