Exercise of Options and Sale and Purchase of Shares/Directors' Shareholdings

S&U plc announces that it has today received due notices of exercise in respect of options granted to a director under the Company's 2008 Discretionary Share Option Plan ("DSOP") and the 2010 Long Term Incentive Share Option Plan ("LTIP").

The DSOP notice was in respect of a total of 1,500 ordinary shares of 12.5p each ("Ordinary Shares") at the exercise price of 1160.0 pence per share. The LTIP notice was in respect of a total of 6,000 ordinary shares of 12.5p each ("Ordinary Shares") at the exercise price of 12.5 pence per share. These 7,500 Ordinary Shares were admitted to trading on 27 May 2016 pursuant to an existing block listing granted to the Company by London Stock Exchange plc and will rank pari passu with existing Ordinary Shares.

Mr Chris Redford, a director exercised 7,500 Ordinary Shares from his DSOP and LTIP awards. He subsequently sold 6,000 Ordinary Shares at a price of 2300.0p per Ordinary Share and his wife Mrs Tina Redford also transferred 2,295 of her existing ordinary shareholding to Mr Chris Redford at nil cost. Following these transactions, the beneficial shareholding of Chris Redford is 7,595 Ordinary Shares representing 0.06% of the enlarged ordinary share capital.

Mr Graham Coombs, Deputy Chairman, acquired 3,750 Ordinary Shares bringing his shareholding (including beneficial shareholdings) to 1,570,957 Ordinary Shares representing 13.1 per cent of the enlarged ordinary share capital.

In addition to the above holdings, Grevayne Properties Limited, a Company beneficially controlled by Anthony Coombs and Graham Coombs, hold 298,048 Ordinary Shares representing 2.5% of the enlarged ordinary share capital.

Following the issue of these Ordinary Shares, the total number of voting rights in S&U is 11,947,375, which number should be used by shareholders and other parties subject to disclosure obligations as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in the share capital of S&U under the FCA's Disclosure and Transparency rules.
