ST. JAMES'S PLACE ANNOUNCES THE

APPOINTMENT OF CHARLES GREGSON AS CHAIRMAN

Mike Wilson, co-founder of St. James's Place will become a Life President of St. James's Place alongside Sir Mark Weinberg and will retire as Chairman and as a director of the company on 31 December 2011. He will be succeeded by Charles Gregson who joined the Board as a non-executive director in January 2010, and will be appointed non-executive Chairman with effect from 1 January 2012.

Charles Gregson has more than thirty years of experience in the financial services sector. He was responsible between 1978 and 1998 for the Garban businesses that demerged from United Business Media in 1998 and merged with Intercapital in 1999 to become ICAP, where he is currently Chairman. He is also Chairman of CPP Group and a non- executive director of International Personal Finance and Caledonia Investments.

Mike will continue to retain an ongoing relationship with members of the St. James's Place Partnership and in addition will become Chairman of the St. James's Place Foundation and take on the role of a principal adviser to our Academy.

Commenting today, Mike Wilson said:

I am very happy and proud to be able to step down as Chairman when St. James's Place is in such excellent shape and have every confidence for the future of the business under the leadership of David and the executive management team.

St. James's Place has a unique culture and exceptional people throughout the organisation and I am honoured to become a Life President of the company and to continue to have an ongoing role in the future."
