Issue of Options

1Spatial plc (AIM: SPA), the Spatial Big Data Company, which manages some of the world's largest spatial data, announces that on 3 March 2015 the Company granted shares options to both its executive team and other members of staff. There are two main schemes.

Options over 11,000,000 new ordinary shares of 1p each in the Company ("Ordinary Shares") were issued to a number of employees under the Company's EMI share option plan (the "EMI Options"). The EMI Options have been issued to motivate and tie in key staff within the business and will vest over various intervals based on a number of different conditions including performance targets and time elapsed. The EMI Options have been granted with an exercise price of £0.054.

In addition, incentive options over 26,000,000 Ordinary Shares (the "Incentive Options") were issued to members of 1Spatial's senior executive team and certain Board directors. The Board has determined to make the award, in consultation with its largest shareholders, to incentivise and retain key executives. The Incentive Options vest solely in the event of a transaction at a minimum value per share of 12p, at which point 20 per cent. of the total Incentive Options will vest, and on a straight-line basis thereafter up to a value per share of 24p, at which point all (100 per cent.) of the Incentive Options will vest.

The Incentive Options have a three year life and an exercise price of 1p per Ordinary Share, being their nominal value.

Marcus Hanke and Claire Milverton currently hold 29,124,641 and 388,857 Ordinary Shares respectively, representing 4.48% and 0.06% of the ordinary issued share capital of the Company. In addition, following the issue of the Incentive Options, Marcus and Claire hold options over 22,238,866 and 13,429,150 Ordinary Shares in total, respectively.

The total number of options now outstanding over Ordinary Shares is 74,277,267, representing 11 per cent. of the Company's ordinary issued share capital.
