M&C Saatchi PLC ("M&C Saatchi" or "the Company")
Additional Listing and Total Voting Rights
Application has been made to the London Stock Exchange for the Admission of 1,346,640 new ordinary shares of 1p each in the Company (the "New Shares") to trading on AIM. The New Shares have been issued as consideration for additional equity in one of the Group's US subsidiaries and consideration for 51% acquisition of an UK subsidiary. Of the remaining 49%, 24.5% is puttable from 2021, and 24.5% is puttable from 2022, these puts will be based on a Group headline multiple (subject to a cap).
Admission of the New Shares is expected to become effective on 29 June 2018.
The total number of Ordinary Shares in issue on the date of admission will be 86,655,192 of this total, 700,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares in issue with voting rights will be 85,955,192.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
